MX Energy definition

MX Energy means MxEnergy Inc., a Delaware corporation.
MX Energy has the meaning set forth in the recitals.
MX Energy has the meaning set forth in the preamble hereto.

  • The Facility Agent may from time to time enter into other Master ISDA Agreements with Affiliates of MX Energy or MX Electric (each such Affiliate, an “Additional MX Party” and, together with MX Energy and MX Electric, the “ISDA Parties”), and the Guarantors named therein (each, an “Additional Master ISDA”, which term shall encompass the related ISDA Documents).

  • Subject to the terms and conditions of this Agreement, each of MX, MX Energy, CECG and SET agrees to use all commercially reasonable efforts to take, or cause to be taken, all action and to do, or cause to be done, all things necessary, proper or advisable under applicable laws or otherwise to consummate and make effective the transactions contemplated by this Agreement.

  • The Specified Entities of Party B (other than MX Energy, MX Canada, Xxxxxxxxx.xxx and Online Choice) are engaged solely in holding Equity Interests in the MX Holdcos, Party B, MX Energy and MX Canada and the performance of their duties and obligations under this Agreement, the other ISDA Documents, the Old Notes Indenture, the Indenture and each other document related thereto.

  • Party B and MX Energy shall use commercially reasonable efforts to novate or terminate all transactions underlying the Indebtedness permitted by clause (iii) of the definition of “Permitted Indebtedness” set forth in Part 14 as promptly as practicable, but in any event within 30 days of the Closing Date.

  • MX Energy and MX Canada are engaged solely in the purchase and sale of Gas to residential or small commercial end-users of Gas and other activities necessary in connection therewith.

Related to MX Energy

  • Energy means electricity, natural gas, steam, hot or chilled water, fuel oil, or other product for use in a building, or renewable on-site electricity generation, for purposes of providing heating, cooling, lighting, water heating, or for powering or fueling other end-uses in the building and related facilities, as reflected in Utility bills or other documentation of actual Energy use.

  • Generating Company means any company or body corporate or association or body of individuals, whether incorporated or not, or artificial juridical person, which owns or operates or maintains a generating station;

  • Solar energy means the sun used as the sole source of energy for producing electricity.

  • Net Energy The total quantity of electric energy (measured in kilowatt hours) produced by the Facility over a given time period and delivered to the Point of Interconnection, as measured by the revenue meter. "Net Energy" the equivalent of "Actual Output."

  • Gas company means any person distributing gas within the corporate limits or authorized and proposing to so engage.

  • Renewable energy means the grid quality electricity generated from renewable energy sources;

  • Clean energy means energy produced from Renewable Energy Resources (as defined below), eligible energy sources, and by means of advanced technologies that cost- effectively capture and sequester carbon emissions produced as a by-product of power generation. For purposes of this definition, “cost” means all those costs as determined by the Public Utilities Commission of the State of Colorado (“PUC”).

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Renewable energy resources means energy derived from solar, wind, geothermal, biomass, and hydroelectricity. A fuel cell using hydrogen derived from these eligible resources is also an eligible electric generation technology. Fossil and nuclear fuels and their derivatives are not eligible resources.

  • Production company means a person or entity engaged in the business of making motion picture, television, or radio images for theatrical, commercial, advertising, or education purposes; Reserved

  • Renewable energy resource means a resource that naturally replenishes over a human, not a geological, time frame and that is ultimately derived from solar power, water power, or wind power. Renewable energy resource does not include petroleum, nuclear, natural gas, or coal. A renewable energy resource comes from the sun or from thermal inertia of the earth and minimizes the output of toxic material in the conversion of the energy and includes, but is not limited to, all of the following:

  • GP means Gottbetter & Partners, LLP.

  • renewable energy sources means renewable sources such as small hydro, wind, solar including its integration with combined cycle, biomass, bio fuel cogeneration, urban or municipal waste and other such sources as approved by the MNRE;

  • Net energy metering means the difference between the kilowatt-hours consumed by a customer-generator and the kilowatt-hours generated by the customer- generator's facility over any time period determined as if measured by a single meter capable of registering the flow of electricity in two directions.

  • Renewable Energy Source means an energy source that is not fossil carbon-based, non- renewable or radioactive, and may include solar, wind, biomass, geothermal, landfill gas, or wave, tidal and thermal ocean technologies, and includes a Certified Renewable Energy Source.

  • LPN means licensed practical nurse.

  • Transportation Company means any organization which provides its own or its leased vehicles for transportation or which provides freight forwarding or air express services.

  • Constellation has the meaning assigned to that term in the Recitals.

  • LP means the aggregate quantity of Lost Production during such Month (expressed in MWh) and

  • CEI / “CEIG” shall mean Chief Electrical Inspector to the State Government.

  • Imbalance Energy means the amount of energy in MWh, in any given Settlement Period or Settlement Interval, by which the amount of Facility Energy deviates from the amount of Scheduled Energy.
