On the Merger Date, Parent shall deposit the Expense Fund Distribution Amount in immediately available funds with the Member Representative, to be used for paying directly or reimbursing the Member Representative for any expenses incurred by it arising from its obligations in connection with this Agreement and any related agreements.
The Merger shall become effective at the time provided for in the Certificate of Merger (the effective time of the Merger being hereinafter referred to as the “Merger Effective Time”, the day on which the Merger Effective Time occurs being hereinafter referred to as the “Merger Date”, and 12:01 a.m., Eastern Time on the Merger Date hereinafter referred to as the “Reference Time”).
