Malwarebytes means: (a) If MSP is acquiring Malwarebytes software in the United States or Canada, Malwarebytes Inc. a Delaware Corporation, located at 0000 Xxxxxxx Xxxxxx 00xx Xxxxx, Xxxxx Xxxxx, XX 00000; and (b) If MSP is acquiring Malwarebytes software in any other country, Malwarebytes Limited, a company incorporated in Ireland, located at 0xx Xxxxx, Xxx Xxxxxx Xxxx, Cork, Ireland X00 X0X0. The effective date of this Agreement shall commence upon MSP’s acceptance of this Agreement and completion of the MSP program registration process. Upon Malwarebytes's acceptance of MSP's registration, MSP will be appointed a nonexclusive marketer and provider of Malwarebytes managed services provider products, in the territory specified by Malwarebytes (“Territory”). Examples of Malwarebytes in a sentence

  • For clarity, notwithstanding anything to the contrary, in no event shall any sales executive, sales representative or other sales or systems or sales engineer employee of Malwarebytes be authorized to bind Malwarebytes, and any purported agreement by any such representative or employee, or any Malwarebytes representative not in fact authorized to bind Malwarebytes, shall be null and void and shall not be binding on Malwarebytes.

  • Any purported changes to this Agreement that are not entered into by, or not issued by, an actual authorized representative of Malwarebytes and that are not posted on the Partner Portal, shall be null and void and shall not be binding on Malwarebytes.

  • Nothing in this Agreement implies that Malwarebytes will agree to any publicity.

  • Malwarebytes reserves the right to modify this Agreement in its sole discretion by providing no less than thirty (30) calendar days notice of such changes.

  • The Reseller agrees that Reseller is responsible to pass down the requirements of this Section to any of its reseller partners, Integrators, MSSP's, and end users, or other entities to which Reseller sells any Malwarebytes Products or Services and that Malwarebytes is not responsible for Reseller's export or import into the applicable Territory.

  • Reseller shall promptly provide Malwarebytes full access to any records requested by Malwarebytes.

  • Reseller agrees and acknowledges that it may not use or register or attempt to register the name "Malwarebytes" or any of Malwarebytes's other Marks, or any derivative thereof, for any Internet domain name, without Malwarebytes's express prior written consent, which Malwarebytes may withhold in its sole and absolute discretion.

  • Notwithstanding anything to the contrary, Malwarebytes may, without consent, assign, delegate, sub- contract or otherwise transfer this Agreement or any of its obligations hereunder to any successor, assignee or surviving entity in the event of a merger, acquisition or purchase of at least fifty percent (50%) of Malwarebytes's assets, or to any subsidiary or affiliate of Malwarebytes.

  • Reseller agrees and is responsible to pass down the requirements of this Section to any resellers or other partners or entities through which Reseller sells Malwarebytes Products or Services.

  • Reseller will fully assist Malwarebytes in investigating any allegations of improper payments or other violations of the provisions of this Section, and will fully assist Malwarebytes in investigating such allegations and remedying any such violations.

  • Malware any thing or device (including any software, code, file or program) which may prevent, impair or otherwise adversely affect the access to or operation, reliability or user experience of any computer software, hardware or network, telecommunications service, equipment or network or any other service or device, including worms, trojan horses, viruses and other similar things or devices.

  • coronavirus means severe acute respiratory syndrome coronavirus 2 (SARS-CoV-2);

  • Virus means any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.

  • Malicious Software means any software program or code intended to destroy, interfere with, corrupt, or cause undesired effects on program files, data or other information, executable code or application software macros, whether or not its operation is immediate or delayed, and whether the malicious software is introduced wilfully, negligently or without knowledge of its existence.

  • Spam means unsolicited commercial communications, including unsolicited commercial messages as referred to in section 5.2.1.

  • Sensor means any measurement device that is not part of the vehicle itself but installed to determine parameters other than the concentration of gaseous and particle pollutants and the exhaust mass flow.

  • Interoperability means the ability of a Qwest OSS Function to process seamlessly (i.e., without any manual intervention) business transactions with CLEC's OSS application, and vice versa, by means of secure exchange of transaction data models that use data fields and usage rules that can be received and processed by the other Party to achieve the intended OSS Function and related response. This same nomenclature, at the appropriate rate substitution, extends to the other types of DCS specifically cited as 3/1 and 3/3.
