Where the Conversion Date falls after the seventh London and Madrid business day prior to the first day of a calendar month or if such day is not a London and Madrid business day, the following London and Madrid business day, the Issuer will procure that the Share Record Date occurs on the first day of the immediately following calendar month or, if such day is not a London and Madrid business day, the following Madrid business day.
