Liquidity Put definition

Liquidity Put means the sale by a Conduit Purchaser, pursuant to its Program Support Agreement, to one or more of its Program Support Providers of an interest in such Conduit Purchaser’s interest in the Series 2010-3 Note funded or maintained by it at the time of such sale.
Liquidity Put is defined in Section 3.1.
Liquidity Put has the meaning given to that term in the Overall Agreement.

  • The exercise of a Liquidity Put Option for any of the Shares to which the Periodic Make-Whole Payment applies in the first year that the Liquidity Put Option is exercisable will eliminate the Plan’s right to that Periodic Make-Whole Payment with respect to all Shares to which the Periodic Make-Whole Payment in that year relates, but any Shares for which the Liquidity Put Option is not exercised will continue to be eligible for future Periodic Make-Whole Payments.

Liquidity Put means, with respect to a Structured Purchaser, that such Structured Purchaser, pursuant to its Liquidity Agreement, has sold to one or more Support Banks an interest in such Structured Purchaser's interest in the Class A Certificates funded or maintained by such Structured Purchaser at the time of such sale.
Liquidity Put shall have the meaning provided for in the Put Option Agreement.
Liquidity Put has the meaning as set forth in the GA Overall Agreement and the TX Overall Agreement, respectively, and as applicable.

Related to Liquidity Put

  • Liquidity Agent means any bank or other financial institution acting as agent for the various Liquidity Providers under each Liquidity Agreement.

  • Liquidity Provider means each bank or other financial institution that provides liquidity support to any Conduit Purchaser pursuant to the terms of a Liquidity Agreement.

  • Liquidity Commitment means, with respect to each Liquidity Bank, its commitment to make Liquidity Fundings pursuant to the Liquidity Agreement to which it is a party.

  • Liquidity Funding means (a) a purchase made by any Committed Lender pursuant to its Liquidity Commitment of all or any portion of, or any undivided interest in, an applicable Conduit’s Loans, or (b) any Loan made by a Committed Lender in lieu of such Conduit pursuant to Section 1.1.

  • Liquidity Bank means the Person or Persons who provide liquidity support to any Conduit Lender pursuant to a Liquidity Agreement in connection with the issuance by such Conduit Lender of Commercial Paper Notes.

  • Liquidity Amount means, as of any date of determination, the sum of (a) the Aggregate Borrowing Availability as of such date and (b) the Unrestricted Cash Amount as of such date.
