Liquidating LandCo Debtors means the LandCo Debtors, in each of their respective Chapter 11 Cases, or any successor thereto, by merger, consolidation, or otherwise, on or after the Effective Date, but does not include New LandCo.

  • Nothing contained herein shall require the Liquidating LandCo Debtors to attempt to locate any Holder of an Allowed Claim.

  • Liquidating Losses means any net loss realized in connection with the actual or hypothetical sale of all or substantially all of the assets of the Partnership (including upon the occurrence of any event of liquidation of the Partnership), including but not limited to net loss realized in connection with an adjustment to the book value of Partnership assets under Section 6.2 hereof.

  • Chapter 11 Case has the meaning set forth in the Recitals.

  • Liquidating Events shall have the meaning set forth in Section 13.1.

  • First Lien Collateral means all of the assets and property of any Grantor, whether real, personal or mixed, with respect to which a Lien is granted as security for any First Lien Obligations.
