Keyloop undertakes that the Keyloop Software, Services and Documentation do not infringe upon any third party’s intellectual property rights.
Client shall not remove, suppress or modify in any way any proprietary marking, including but not limited to any trademarks, trade names and logos of Keyloop or its Affiliates, or copyright notice on or in the Keyloop Software or Documentation.
Client may make one copy only of the Documentation for Keyloop Software for each of the End Users.
The contract between Keyloop and Client governing the provision and use of Keyloop Software and/or Services (collectively the “Products”) shall consist of the following documents (in the order of priority as listed below in case of any conflict) (collectively, the “Agreement”): (i) these Standard Terms and Conditions, (ii) Product Specification, (iii) Quotation, and (iv) Statement of Work (if any).
Keyloop Software and Services shall conform to their respective functional and technical specifications provided in the relevant Product Specifications in all material respects.

If additional purchases (i.e., additional users for Keyloop Software or additional Services) are made with respect to any Product that Client has previously purchased, the then-current term and subsequent renewal terms of such Product shall apply to such additional purchases.
Subject to additional fees, Keyloop may provide to Client a new Version of any Keyloop Software and related implementation and other services.
Client shall use Keyloop Software solely for the purpose of operating Client’s normal business, and shall use Keyloop Software (i) in such concurrent number of End Users as specified in the Quotation; (ii) in the format of the Version specified in the Quotation (which may be upgraded from time to time pursuant to the relevant Product Specification); and (iii) in accordance with reasonable instructions issued by Keyloop to Client.
If any Restricted Personnel is employed or otherwise engaged by any third party who provides any services to a Party, such Party shall ensure that, during the Restricted Period, such third party will not instruct such Restricted Personnel to work on such Party’s project in connection with any Keyloop Software or Services.
