ICC Software. definition

ICC Software. means the version of computer software entitled IntellAgents-TM- and/or the Licensed Database/Templates, as identified in the Software License Exhibit, along with each copy, translation, compilation, update, modification or enhancement of all or any part of the ICC Software, in any medium, delivered to Licensee or made by ICC under this Agreement.

Examples of ICC Software. in a sentence

  • System Requirements" mean the system requirements published from time to time by ICC for the applicable component and/or version of the ICC Software including, but not limited to, the required versions of Third Party Software.

  • If Licensee fails to pay fees payable to ICC under this Agreement, ICC reserves the right to repossess the ICC Software without prejudice, and assert appropriate liens until all amounts due are paid in full.

  • Licensee may make one (1) copy of the ICC Software program and (l) one copy of the user manual contained in the Support Materials.

  • Licensed Materials" mean the ICC Software and Support Materials delivered to the Licensee under this Agreement.

  • The Additional User Fee for each Additional User shall be due and payable by Licensee and Licensee shall pay the Additional User Fee before the first use of the ICC Software by each such Additional User.

  • In addition, Licensee may make (1) copy of the ICC Software for backup purposes.

  • The non-exclusive and non-transferable right granted to Licensee in this Paragraph to make Modifications to the Licensed Database/Templates applies solely to the Licensed Database/Templates, and shall not apply to the IntellAgents-TM- program or any other portion of the ICC Software or the Licensed Materials.

  • Except as expressly provided in the Paragraph entitled "Permitted Alterations," Licensee shall not alter, modify, disassemble, decompile, reverse engineer or otherwise manipulate (or attempt to alter, modify, disassemble, decompile, reverse engineer or otherwise manipulate) the ICC Software.

  • Licensee acknowledges that, by virtue of such Modification(s) made by Licensee to the Licensed database/Templates, subsequent modifications, solutions, corrections, improvements, or release of the ICC Software and related documentation may be rendered unusable or incompatible.

  • All such Modifications of the Licensed Database/Templates or any portion thereof shall be at Licensee's, sole risk and expense, and in no event shall ICC have any obligation to support or maintain any Modification which is not distributed by ICC to its general client base and made a part of the standard ICC Software.

Related to ICC Software.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.
