HFCP Options definition

HFCP Options means the options to purchase Common Stock issued to the H&F Investors in connection with the Contribution Agreement.
HFCP Options shall have the meaning given such term in the Stockholders' Agreement.
HFCP Options. The options to purchase Holdings Common Stock (which, following the Mergers, will become options to purchase Y&R Common Stock) set forth in the HFCP Option Agreements.

  • The HFCP Investors are acquiring the HFCP Issued Shares and the HFCP Options hereunder for their own accounts with the present intention of holding them for investment purposes and with no present intention of distributing or selling such HFCP Issued Shares (or, following the Mergers, the shares of Y&R Common Stock), HFCP Options, or the Holdings Shares (or, following the Mergers, the shares of Y&R Common Stock) issuable upon exercise thereof.

  • The decree further provides that the foregoing requirements shall be set forth in EPA’s section 304(m) plans.

Related to HFCP Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • CONCURRENT STOCK APPRECIATION RIGHT or "CONCURRENT RIGHT" means a right granted pursuant to subsection 8(b)(2) of the Plan.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • Stock Appreciation Right or “SAR” means a right to receive the appreciation on Common Stock that is granted pursuant to the terms and conditions of Section 5.

  • Stock Appreciation Rights Agreement means a written agreement between the Company and a Holder with respect to an Award of Stock Appreciation Rights.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Equity Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity based awards granted by the Company to the Executive.

  • Stock Appreciation Rights or “SAR” means a right granted to a Participant under Section 6(c).

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Limited Stock Appreciation Right means an Award of a limited Tandem Stock Appreciation Right or a Non-Tandem Stock Appreciation Right made pursuant to Section 7.5 of this Plan.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;
