Group 1 Common Stock definition

Group 1 Common Stock means the common stock, par value $.01 per share of Group 1.
Group 1 Common Stock means the common stock par value $0.01 per share, of Group 1 Automotive, or any other share capital of Group 1 Automotive into which such equity is reclassified or reconstituted.

  • Group 1 shall reserve for issuance and shall issue, out of its authorized but unissued capital stock, such number of shares of Group 1 Common Stock as may be issuable upon consummation of the Acquisition.

  • If the number of shares of Group 1 Common Stock received by a Stockholder pursuant to this Agreement includes a fractional share as a result of a reverse stock split affecting the Group 1 Common Stock, such fractional share shall be rounded up to the nearest whole share of Group 1 Common Stock.

  • With respect to the shares of Group 1 Common Stock received by the Stockholders, $14.00 per share shall be used for purposes of determining the value of the stock portion of the purchase price.

  • With respect to the shares of Group 1 Common Stock received by the Owners, $14.00 per share will be used for purposes of determining the value of the stock portion of the purchase price.

  • Prior to Closing the parties will agree on the value of the Group 1 Common Stock as part of the Closing Payment for purposes of determining the purchase price of the Assets.

  • All shares of Group 1 Common Stock issuable pursuant to the Acquisition are duly authorized and will, when issued, be validly issued, fully paid and nonassessable and not issued in violation of the preemptive rights of any stockholder of Group 1.

  • For the purposes of determining the number of shares of Group 1 Common Stock payable to the Stockholders hereunder, such shares shall be assigned a per share value of the average closing price of the Group 1 Common Stock on the New York Stock Exchange for the five trading days preceding the date on which such shares are issued.

  • Group 1 shall reserve for issuance and shall issue, out of its authorized but unissued capital stock, such number of shares of Group 1 Common Stock as may be issuable upon consummation of the Merger.

  • Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of the Company.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Fully-Diluted Common Stock means, at any time, the then outstanding Common Stock plus (without duplication) all shares of Common Stock issuable, whether at such time or upon the passage of time or the occurrence of future events, upon the exercise, conversion, or exchange of all then outstanding Common Stock Equivalents.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.

  • Class B Common Shares means shares of the Class B Common Stock, par value $.01 per share, of the Company.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.
