Global Call Warrant definition

Global Call Warrant. A registered Call Warrant in the name of the Depository or its nominee.
Global Call Warrant. Means a definitive, fully registered Call Warrants deposited with the Warrant Agent as custodian for, and registered in the name of, a nominee of the Depository.
Global Call Warrant. Means a definitive, fully registered Call Warrant deposited with the Warrant Agent as custodian for, and registered in the name of, a nominee of the Depository.

Examples of Global Call Warrant in a sentence

  • Any Global Call Warrant that is exchangeable pursuant to the preceding sentence will be exchangeable for Certificated Call Warrants of like tenor and Warrant Amount, as applicable, in any authorized denomination or denominations and registered in the names of such Person or Persons as the Depository shall direct.

  • Any Global Call Warrant representing Call Warrants shall be exchangeable for Certificated Call Warrants only if (i) the Depository advises the Depositor in writing that it is no longer willing or able to properly discharge its responsibilities with respect to the Call Warrants and the Depositor is unable to locate a qualified successor within 60 calendar days or (ii) the Depositor, at its option, advises the Trustee in writing that it elects to terminate the book-entry system through the Depository.

  • None of the Depositor, the Trustee, the Warrant Agent or any agent of the Depositor, the Trustee or the Warrant Agent shall have any responsibility or liability for any aspect of the records relating to, or payments made on account of, beneficial ownership interests of a Global Call Warrant or for maintaining, supervising or reviewing any records relating to such beneficial ownership interests.

  • The Registered Warrant Amount of Call Warrants may from time to time be increased or decreased by adjustments made on the records of the Trustee, as custodian for DTC for such Global Call Warrant, as provided in this Section.

  • Unless and until it is exchanged in whole or in part for Certificated Call Warrants, a Global Call Warrant may not be transferred except as a whole by the Depository for such Global Call Warrant to a nominee of such Depository, or by a nominee of such Depository to such Depository or another nominee of such Depository, or by such Depository or any such nominee to a successor of such Depository or a nominee of such successor.

  • Global Warrant means a Warrant in the form of a permanent global Warrant Certificate, in definitive, fully registered form.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Legended Regulation S Global Note means a Global Note in the form of Exhibit A bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount at maturity of the Notes initially sold in reliance on Rule 903 of Regulation S.

  • Registered Global Note means a Regulation S Global Note or a Rule 144A Global Note;

All other capitalized terms used but not otherwise defined herein shall have the meaning ascribed to such terms in the Warrant Certificate.
