Fountain Draft Form 10 means the draft registration statement on Form 10 as set forth in Section 2.05(b) of the Trident Disclosure Letter (as such term is defined in the Merger Agreement).
Joint Proxy Statement shall have the meaning set forth in Section 6.3(a).
L/C Application means an application and agreement for the issuance or amendment of a Letter of Credit in the form from time to time in use by the L/C Issuer.
Short Form Notice means the Short Form Notice substantially in the form as
Plan Supplement Filing Date means the date or dates on which the Plan Supplement shall be filed with the Bankruptcy Court. The first Plan Supplement Filing Date shall be at least seven days prior to the Voting Deadline or such later date as may be approved by the Bankruptcy Court without further notice.
Form 10 means the registration statement on Form 10 filed by SpinCo with the SEC to effect the registration of SpinCo Shares pursuant to the Exchange Act in connection with the Distribution, as such registration statement may be amended or supplemented from time to time prior to the Distribution.
Termination statement means an amendment of a financing statement which:
L/C Amendment Application means an application form for amendment of outstanding standby or commercial documentary letters of credit as shall at any time be in use at the Issuing Bank, as the Issuing Bank shall request.
Merger Registration Statement means the registration statement, together with all amendments, filed with the SEC under the Securities Act for the purpose of registering shares of NYB Common Stock to be offered to holders of Synergy Common Stock in connection with the Merger.
Company U.S. Counsel means Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, Professional Corporation.
Joint Proxy Statement/Prospectus has the meaning set forth in Section 6.1(a).
Closing Press Release has the meaning set forth in Section 5.4(b).
Initial Filing Date means the date on which the Initial Registration Statement is filed with the SEC.
Company Proxy Statement has the meaning set forth in Section 3.5.
Amendment Effectiveness Deadline Date has the meaning set forth in Section 2(d) hereof.
Final Official Statement means the deemed final Official Statement, dated , 2023, which constitutes the final official statement delivered in connection with the Bonds, which is available from the MSRB.
Information Statement means the information statement to be made available to the holders of Parent Shares in connection with the Distribution, as such information statement may be amended or supplemented from time to time prior to the Distribution.
Certificate of Final Completion means the certificate issued by A/E that documents, to the best of A/E’s knowledge and understanding, Contractor’s completion of all Contractor’s Punchlist items and pre-final Punchlist items, final cleanup and Contractor’s provision of Record Documents, operations and maintenance manuals, and all other closeout documents required by the Contract Documents.
Remainder Registration Statement has the meaning set forth in Section 2(a).
Distribution Statement has the meaning set forth in Section 5.02(c) of the Trust Agreement.
Master Registration Agreement means the agreement of that sets out (among other things) the procedure for a supplier to Register a Supply Point;
