Foreign Guaranty Principles definition

Foreign Guaranty Principles means the following principles: (i) a Foreign Subsidiary shall not be required to enter into a Foreign Subsidiary Guaranty if it, the Parent, or any Subsidiary of the Parent would be reasonably likely to be obliged to pay any additional amounts in respect of Taxes in any jurisdiction; (ii) a Foreign Subsidiary shall not be required to enter into a Foreign Subsidiary Guaranty to the extent that it would constitute an unlawful act of the relevant Foreign Subsidiary or any of its officers or directors or result in any breach of corporate benefit, financial assistance, fraudulent preference or thin capitalization laws or regulations of any jurisdiction; (iii) Foreign Subsidiary Guarantors shall only be required to guarantee the obligation of a Foreign Subsidiary Borrower that is the direct parent company of such Foreign Subsidiary Guarantor (the “Foreign Subsidiary Borrower Parent”); and (iv) the maximum amount recoverable from a Foreign Subsidiary Guarantor under a Foreign Subsidiary Guaranty shall be limited to the aggregate of any amounts borrowed by the relevant Foreign Subsidiary Guarantor from its Foreign Subsidiary Borrower Parent where the monies lent by the Foreign Subsidiary Borrower Parent to the relevant Foreign Subsidiary Guarantor have been obtained from Loans made under the Agreement.

Examples of Foreign Guaranty Principles in a sentence

  • The obligations of the Lenders to lend under the Credit Agreement to the Parent Foreign Borrower are conditioned on, among other things and subject to the Foreign Guaranty Principles, the execution and delivery by the Guarantor of a guarantee agreement in the form hereof prior to the Parent Foreign Borrower loaning or otherwise providing any proceeds of the Loans to the Guarantor or obtaining any Letter of Credit for the benefit of the Guarantor.

  • Each Foreign Subsidiary that receives loans of Loan proceeds from such Foreign Subsidiary Borrower (each, a “Foreign Subsidiary Guarantor”) shall have executed and delivered to the Global Agent the Guaranty of Payment (Foreign Subsidiary) (as modified, amended or supplemented from time to time in accordance with the terms thereof, the “Foreign Subsidiary Guaranty”), subject to the Foreign Guaranty Principles but otherwise substantially in the form attached hereto as Exhibit C-3.

  • Agreed Security Principles means the principles set out in Schedule 11 (Agreed Security Principles).

  • Foreign Guaranty means a Corporate Guaranty provided by an Affiliate of a Participant that is domiciled in a foreign country, and meets all of the provisions of Tariff, Attachment Q. Form 715 Planning Criteria: “Form 715 Planning Criteria” shall have the same meaning provided in the Operating Agreement.

  • Foreign Guarantor means any Guarantor that is not organized under the laws of the United States or any jurisdiction within the United States.

  • Foreign Guarantors means and includes each Foreign Borrower and each Foreign Subsidiary Guarantor.

  • Borrower Pledge Agreement means the Pledge Agreement executed and delivered by the Borrower pursuant to Section 5.1.5, substantially in the form of Exhibit F-1 hereto, as amended, supplemented, restated or otherwise modified from time to time.

  • Foreign Pledge Agreement means a pledge agreement securing the Obligations or any of them that is governed by the law of a jurisdiction other than the United States and reasonably satisfactory in form and substance to the Collateral Agent.

  • Holdings Pledge Agreement means the Holdings Pledge Agreement, dated as of the Closing Date, among Holdings and the Collateral Agent.

  • Foreign Security Documents means the collective reference to the security agreements, debentures, pledge agreements, charges and other similar documents and agreements pursuant to which any Grantor purports to pledge or grant a security interest in any property or assets located outside of the United States (including any Pledged Equity Interests of any Issuer organized under a jurisdiction other than the United States or any state or locality thereof securing the Secured Obligations).

  • Canadian Pledge Agreement means a pledge agreement, in form and substance reasonably satisfactory to the Administrative Agent, executed by the Borrower and each Guarantor that is a Canadian Subsidiary, pursuant to which each such Person pledges to the Collateral Agent all of its right, title and interest in and to all Stock of each Subsidiary in which it has an interest, as the same may be amended, restated, supplemented or otherwise modified from time to time.

  • Equity Pledge Agreement means the Equity Pledge Agreement entered into by and among the Parties hereto on June 12, 2017, pursuant to which Party C will pledge all equity interests held by it in Party B (i.e. Party B’s Equity Interests) to Party A as the pledged collateral for the contractual obligations and secured debts under the VIE Agreements.

  • Parent Pledge Agreement means that certain Pledge Agreement, dated of the date hereof, made by Parent in favor of Agent.

  • Foreign-going vessel means any vessel other than a coastal vessel.

  • Subsidiaries Guaranty shall have the meaning provided in Section 6.10.

  • Pledge Amendment shall have the meaning assigned to such term in Section 5.1 hereof.

  • Company Pledge Agreement means the Company Pledge Agreement executed and delivered by Company on the Closing Date, substantially in the form of Exhibit XIII annexed hereto, as such Company Pledge Agreement may thereafter be amended, supplemented or otherwise modified from time to time.

  • U.S. Pledge Agreement means a Pledge Agreement substantially in the form of Exhibit B-1 between the Borrower, the Subsidiary Guarantors and the Administrative Agent.

  • Pledge Agreements means one or more pledge agreements, each in form and substance satisfactory to the Administrative Agent, executed and delivered by the Company and/or certain of its Subsidiaries pursuant to or in connection with transactions contemplated by this Agreement, as the same may be amended, supplemented or otherwise modified from time to time.

  • First Priority Principal Payment means, for a Payment Date, the greater of:

  • Additional Collateral Documents as defined in the Base Intercreditor Agreement.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • Pledge Agreement Supplement means the Pledge Agreement Supplement in the form affixed as an exhibit to the Pledge Agreement.

  • Credit Agreement Collateral Documents means the Security Agreement, the other Collateral Documents (as defined in the Credit Agreement) and each other agreement entered into in favor of the Credit Agreement Collateral Agent for the purpose of securing any Credit Agreement Obligations.

  • Borrower Joinder Agreement means a Borrower Joinder Agreement substantially in the form of Exhibit B-1.

  • Guaranty and Collateral Agreement means the Guaranty and Collateral Agreement dated as of the date hereof executed and delivered by the Loan Parties, together with any joinders thereto and any other guaranty and collateral agreement executed by a Loan Party, in each case in form and substance satisfactory to the Administrative Agent.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.
