Firm IP definition

Firm IP means IP Rights owned by or licensed to the Firm prior to the Commencement Date or acquired or developed by the Firm independently of the provision of the Services, which the Firm has the right to license to third parties and which are necessary or desirable for use in connection with the Services.

Examples of Firm IP in a sentence

  • The Contractor acknowledges that they acquire no right, title or interest in or to the Firm IP by virtue of this Agreement or the disclosure or use of the Firm IP in the course of the performance of the Services, other than as expressly set out in this agreement.

  • The Contractor must, if requested by the Firm and at the Firm’s expense, do all such acts necessary to assist the Firm to protect its interest in the Firm IP.

  • Assistance to the Firm in the event of infringement of rights If the Contractor becomes aware of a person using the Firm IP without the apparent approval of the Firm then they must immediately notify the Firm.

  • The Contractor is absolutely liable to the Firm for any Claims arising from disclosure of the Firm IP where such disclosure: was made by the Contractor or persons who obtained knowledge of the Firm IP through the Contractor; and was not made in accordance with the terms of this Agreement.

  • This paragraph 3 summarises certain provisions of each Party’s Transportation Arrangements relating to Auctions and Bundled Firm IP Capacity, on the basis of which this Schedule operates; and each Party confirms that it considers its Transportation Arrangements to be consistent with this paragraph 3 and otherwise compatible with the provisions of this Schedule.

  • The Parties shall meet once per year, in advance of the publication of the amount of Firm IP Capacity to be made available in the annual Auction of yearly Firm IP Capacity, to jointly analyse the technical Firm IP Capacities in each System.

Related to Firm IP

  • Third Party Technology means any Patents, Information, inventions, or other intellectual property owned or controlled by a Third Party but not Controlled by a Party or its Affiliates.

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • Product Patents means any and all United States patents and patent applications, all divisionals, continuations, continuations-in-part, re-issues, extensions or foreign counterparts thereof, now or hereafter owned or controlled ("controlled" being used in the sense of having the right to grant licenses thereunder) by PERIMMUNE, covering the manufacture, use, sale, offer for sale and/or importation of the Product, including but not limited to, the U.S. Patent No. 5,407,912 attached hereto as Exhibit B.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.
