Final Closing Net Working Capital Overage definition

Final Closing Net Working Capital Overage means the amount, if any, by which the Final Closing Net Working Capital is greater than the Target Net Working Capital.
Final Closing Net Working Capital Overage means the amount, if any, by which the Final Closing Net Working Capital for each Specified Purchased Entity is greater than the Estimated Closing Net Working Capital for each Specified Purchased Entity, which amount, if any, shall be payable by Growth Partners to CEOC in accordance with S ection 3.4(c).
