Facility Representatives definition

Facility Representatives means the Senior Facility Representatives and Junior Facility Representatives.
Facility Representatives means with respect to each Existing Facility or the Guarantee Facility, as applicable, the person appointed as the agent of the creditors in relation to such Existing Facility or Guarantee Facility under the Finance Documents relating to such Existing Facility or Guarantee Facility being as at the date of this Agreement those set out in Part 4 (The Facility Representatives) of Schedule 1 (The Parties).

Examples of Facility Representatives in a sentence

  • Representatives of the EU Member States responsible for the Investment Facility, Representatives of the ACP States, as well as the European Investment Bank, the European Commission, the EU Council Secretariat and the ACP Secretariat shall meet annually to discuss the operations, performance and policy questions concerning the Investment Facility.

  • The Union shall have the right to appoint up to two (2) Facility Representatives in each facility to administer this agreement.

  • Any such written instructions from the Required Facility Representatives shall contain an indemnity satisfactory to the Master Collateral Agent with respect to the instructions given to the Master Collateral Agent.

  • When other qualified bargaining unit employees are available, Facility Representatives shall not be required to perform CIC duties.

  • Promptly after receipt of notice of the Master Collateral Agent's proposed resignation, the Required Facility Representatives shall appoint, by written instrument, a successor collateral agent and notify the Borrowers thereof.

  • Promptly after the giving of notice of removal of the Master Collateral Agent, the Required Facility Representatives shall appoint, by written instrument, a successor collateral agent and notify the Borrowers thereof.

  • The Master Collateral Agent may, but, unless requested in writing by the Required Facility Representatives, shall not (subject to Section 25(b)) be obligated to, and unless prohibited by applicable law and regulations, vote (as directed by the Required Facility Representatives) on behalf of the Secured Parties in any election of a trustee, a standby trustee or person performing similar functions in any such case or proceeding.

  • Until the Senior Debt and costs and expenses under Section 6(a)(i) and (iv) are indefeasibly paid in full in cash, the Junior Creditors shall not, without the prior written consent of the Senior Facility Representatives, take any Collection Action with respect to the Junior Debt, except as permitted in the following sentence.

  • The Senior Facility Representatives may direct the Master Collateral Agent to take any action or exercise any remedy with respect to any Collateral from time to time and at any time in their sole discretion, without notice to the Junior Creditors.

Related to Facility Representatives

  • City Representative means the City Manager or his or her designee as evidenced by a written certificate furnished to the Developer containing the specimen signature of such person or persons and signed by the City Manager.

  • Authority Representative means the representative appointed by the Authority from time to time in relation to this Framework Agreement;

  • Designated Senior Representative means (i) if at any time there is only one Senior Representative for a Senior Facility with respect to which the Discharge of Senior Obligations has not occurred, such Senior Representative and (ii) at any time when clause (i) does not apply, the Controlling Collateral Agent (as defined in the First Lien Intercreditor Agreement) at such time.

  • Authorized City Representative means the Mayor, the City Manager or such other Person at the time designated to act on behalf of the City as evidenced by written certificate furnished to the Developer and the Trustee containing the specimen signature of such Person and signed on behalf of the City by its Mayor or City Manager. Such certificate may designate an alternate or alternates, each of whom may perform all duties of the Authorized City Representative.

  • County Representative means the individual obligated to perform the duties of county representative under section 9.
