Exchangeable Unit definition

Exchangeable Unit has the meaning set forth in the Exchange Agreement.

Exchangeable Unit means each Class B Unit and any other Unit designated as an Exchangeable Unit by the Company.

• Distributions with a Record Date on or before the Exchange Date shall be made to the Exchangeable Unit Member.

• Subject to the other terms of this Section 11.2(b), except as otherwise agreed by the Company, the Manager and an Exchangeable Unit Member, the Company, the Manager, and each Exchangeable Unit Member shall bear their own expenses in connection with the consummation of any Exchange, whether or not any such Exchange is ultimately consummated.

• On an Exchange Date, provided the Exchangeable Unit Member has satisfied its obligations under the Policy Regarding Exchanges and not validly retracted such proposed Exchange, the Manager shall deliver or cause to be delivered the Exchange Consideration to such Exchangeable Unit Member (or its designee), at the address set forth on the applicable Exchange Notice.

More Definitions of Exchangeable Unit

Exchangeable Unit means a Common Unit held by any member of the Titanium Family Group or any Family Transferee.

Exchangeable Unit means (a) any OCGH Unit issued and outstanding on the Merger Closing Date immediately after giving effect to the Transactions and (b) any Permitted Post-Closing OCGH Units.
