Exchange Offer Documentation definition

Exchange Offer Documentation means the “Offer to Exchange Shares of Common Stock Plus 10% Senior Secured Notes due 2012 for Outstanding 3.75% Convertible Senior Notes due 2027, CUSIP Nos. 000000XX0 and 000000XX0 and Consent Solicitation for Amendments to the Related Indenture” dated September 25, 2009 filed on Schedule TO by the Company with the Commission.
Exchange Offer Documentation means the Exchange Offering Memorandum and all material documents, instruments, certificates or other agreements executed and or delivered in connection with the Exchange Offer and the transactions contemplated thereby.

  • Registration Statement means any registration statement that covers the Registrable Securities pursuant to the provisions of this Agreement, including the Prospectus included in such registration statement, amendments (including post-effective amendments) and supplements to such registration statement, and all exhibits to and all material incorporated by reference in such registration statement.

  • L/C Application means an application and agreement for the issuance or amendment of a Letter of Credit in the form from time to time in use by the L/C Issuer.

  • Initial Public Offering” (“IPO means an offering of securities registered under the 1933 Act, the issuer of which, immediately before the registration, was not subject to the reporting requirements of Sections 13 or 15(d) of the 1934 Act.

  • Form S-4 Registration Statement means the registration statement on Form S-4 to be filed with the SEC by Parent in connection with issuance of Parent Common Stock in the Merger, as said registration statement may be amended prior to the time it is declared effective by the SEC.
