Estimated Negative Working Capital Adjustment definition

Estimated Negative Working Capital Adjustment means the amount, if any, by which Target Working Capital exceeds Estimated Working Capital; provided, however, that if such amount is $500,000 or less then the Estimated Negative Net Working Capital Adjustment shall be $0.
Estimated Negative Working Capital Adjustment means the Company’s good faith estimate of the amount of any Negative Working Capital Adjustment as determined based on the information set forth in the Estimated Closing Statement.
