Estimated Intra-Group Receivables definition

Estimated Intra-Group Receivables means the amount of Intra-Group Receivables estimated by the Seller pursuant to clause 2.4;
Estimated Intra-Group Receivables means, in relation to each Group Company, Seller’s good faith best estimate of the Intra-Group Receivables of said Group Company as of the Effective Time, as set out in the relevant Estimated Net Debt Statement;
Estimated Intra-Group Receivables means the Seller’s good faith estimate of the Intra-Group Receivables, estimated by the Seller and notified to the Buyer in writing not less than ten (10) Business Days prior to Completion; Estimated Net External Indebtedness means the Seller’s good faith estimate of the Net External Indebtedness plus the cash to be received from the subscription of the Ford Subscription Shares, estimated by the Seller and notified to the Buyer in writing not less than ten (10) Business Days prior to Completion; Exchange Rate means the pounds sterling spot closing mid-point for US$ as published in the Financial Times on the fifth Business Day preceding the Completion Date or if not published on that date the last preceding date of publication; Excluded Assets means those properties, rights and assets relating to Jaguar and/or Land Rover described in Part 1 of Schedule 3; Excluded Contracts means those contracts, engagements, licences, guarantees and other commitments described in Part 3 of Schedule 3; Excluded Dealer Agreements has the meaning given to that term in Schedule 9; Excluded Liabilities means those Liabilities relating to Jaguar and/or Land Rover described in Part 2 of Schedule 3; FCPA means the United States Foreign Corrupt Practices Act of 1977, as amended;

More Definitions of Estimated Intra-Group Receivables

Estimated Intra-Group Receivables means the Estimated Intra-Group Finance Receivables plus the Estimated Intra-Group Trading Receivables;
Estimated Intra-Group Receivables means the Seller’s reasonable and good faith estimate of the Intra-Group Receivables expressed in US Dollars;
Estimated Intra-Group Receivables is defined in Article 5.3.2(i);
