Direction Letters definition

Direction Letters means letters substantially in the form of Exhibit C.
Direction Letters means the direction letters pursuant to which each applicable Operating Company (excluding Cliveden) or member of the Borrower Control Group is directed by the Borrower or the applicable member of the Borrower Control Group to pay directly into the Deposit Account any and all payments of Dividends and Distributions on account of such Borrower's or Borrower Control Group member's interest therein.

Direction Letters means the letters delivered by Borrower to Administrative Agent pursuant to which Portfolio Investment Entities that are not controlled by affiliates of Borrower are directed to make distributions with respect to Portfolio Investments substantially in the form of Exhibit H.
