Immediately prior to the transfer of the Receivables contemplated by Section 2.1, the Seller had good and marketable title to each Receivable free and clear of any Lien, claim or encumbrance of any Person and, immediately upon such transfer, the Depositor shall have good and marketable title to such Receivable free and clear of any Lien, claim or encumbrance of any Person.
The Seller has not sold, transferred, assigned or pledged any Receivable to any Person other than the Depositor.
Unless otherwise indicated, capitalized terms used in this Agreement are defined in Appendix A to the Sale and Servicing Agreement dated as of the date hereof (as from time to time amended, restated, supplemented or otherwise modified and in effect, the “Sale and Servicing Agreement”) between the Issuer, the Grantor Trust, the Depositor, as seller, the Servicer, Computershare Trust Company, National Association, as Standby Servicer and as Indenture Trustee.
The Depositor hereby appoints Wilmington Trust as the Owner Trustee of the Issuer effective as of the date hereof, to have all the rights, powers and duties set forth herein.
