Data Center and Managed Services definition

Data Center and Managed Services means all services, functions, responsibilities and tasks described in Section D of Schedule E, as such services, functions, responsibilities and tasks may be supplemented, enhanced, modified, or replaced in accordance with this Agreement, including any New Services agreed to with respect to such Services pursuant to Section 11.5.

Examples of Data Center and Managed Services in a sentence

  • Vendor shall use the quality assurance processes, procedures and controls specified in Schedule E for ensuring the quality of the Data Center and Managed Services.

  • No failure or inability of the quality assurance procedures to disclose any errors or problems with the Data Center and Managed Services shall excuse Vendor’s failure to comply with the Service Levels and other terms of this Agreement.

  • If, despite using all commercially reasonable efforts, either Party is unable to obtain any Required Consent associated with the Data Center and Managed Services for which it is responsible, the Parties shall use all commercially reasonable efforts to determine and adopt mutually acceptable alternative approaches as are necessary and sufficient to provide such Services without such Required Consent.

  • At the end of the twelve (12) month period following the occurrence of the Extraordinary Event, the Parties shall calculate the actual increase/decrease in Vendor’s Costs involved in the performance of the Data Center and Managed Services.

  • To the extent any tasks, functions or responsibilities not described in the Amendment 4 Transition Plan are an inherent part of the Services described therein or are required in connection with the transition of the Data Center and Managed Services to Vendor, such tasks, functions and responsibilities shall be deemed to be part of the Amendment 4 Transition Services to be performed, as if such tasks, functions and responsibilities were specifically described in the Amendment 4 Transition Plan.

  • Dex will provide maintenance (including routine Software upgrades) and support, including technology refreshment, for the Dex Provided Equipment in accordance with its then regular maintenance, support and refreshment practices for similarly situated equipment of Dex personnel at the respective Dex Facility, except to the extent that such activities are to be performed by Vendor, as part of the Data Center and Managed Services.

  • Dex reserves the right, in its sole discretion, to suspend or delay the performance of the Amendment 4 Transition Services and/or the transition of all or any part of the Data Center and Managed Services.

  • If, on the basis of any Benchmarking, such Charges would need to be reduced by more than ten percent (10%) in order for them to constitute Competitive Pricing, and Vendor does not consent to such reduction, Dex will be entitled to terminate the Data Center and Managed Services for convenience in accordance with Section 20.3(a).

Related to Data Center and Managed Services

  • Managed Services means the services provided by a Client to End Users using the SaaS and Client’s intellectual capital and/or additional services supplied by Client.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Data Center(s) means the site or sites at which the Software will be hosted to provide the Authorized Services to Customers. Such site or sites shall at all times be owned or controlled by the Provider.

  • Hospice services means palliative and supportive care and other services provided by an interdisciplinary team under the direction of an identifiable hospice administration to terminally ill hospice patients and their families to meet the physical, nutritional, emotional, social, spiritual, and special needs experienced during the final stages of illness, dying, and bereavement, as defined in Minnesota Statutes, § 144A.75, subd. 8, and includes the set of services as determined by the Medicare program under §1861(dd) of the Social Security Act and defined in 42 CFR § 418.3.
