Corporate Desktop Software definition

Corporate Desktop Software means software which (i) is licensed to the Seller or Designated Seller under a corporate licence, (ii) at the Effective Time, is installed on any of the PCs or other computing equipment, other than test equipment, forming part of the Equipment, and which is identified as such on Schedule 1.1(118).
Corporate Desktop Software means software licensed to the Vendor or a Vendor Affiliate (other than the Third Party Software and the Third Party Licenses) under a transferable corporate license which, as of the Effective Time, is installed on personal computers forming part of the Transferred Equipment.
Corporate Desktop Software means Software licensed to Nortel Networks as of the Closing Date which Software is (i) installed on personal computers forming part of the Transferred Equipment, (ii) listed or described in Section 1.01(c) of the NNI Disclosure Schedule, and (iii) licensed under one or more agreements, which, by their current terms, permit Nortel Networks to transfer to the purchaser of such computers forming part of the Transferred Equipment the license to use such Software, while also permitting Nortel Networks to retain the license to use such Software on such other computers retained by Nortel Networks.

Corporate Desktop Software means the software that is used, held for use or intended for use primarily in the Business that is licensed to Seller or any Selling Subsidiary and is installed on personal computers forming part of the Transferred Equipment, including that set forth in Section 1.01(d) of the Disclosure Schedule but excluding that set forth in Section 1.01(e) of the Disclosure Schedule. "Databases" means all databases and related documentation, including all documentation and written narratives of procedures used in connection with the collection, processing and distribution of data contained in databases. "Disclosure Schedule" means the Disclosure Schedule delivered by Seller to Purchaser on the date hereof containing the information required to be included therein pursuant to this Agreement. "Employee Information" means the data relating to the Assumed Employees and material, non-performance review-related records that are reasonably necessary to manage the Assumed Employees after the Closing; provided that Seller shall not be required to produce such records where doing so could reasonably be expected to result in material liability to Seller or the applicable Selling Subsidiary. "Environmental Law" means any Law currently in effect and any judicial or administrative interpretation thereof relating to pollution, protection of the environment, health and safety, natural resources or the generation, presence, use, handling, transportation, treatment, storage, disposal, release, emission, or discharge of or exposure to Hazardous Materials. "Environmental Liability" means any claim, demand, order, suit, obligation, liability, damages, loss, fine, penalty, cost (including any reasonable investigation, testing, compliance or remedial cost or any natural resource damages), or expense (including attorney's and consultant's fees and expenses), contingent or otherwise arising out of, relating to or resulting from any environmental, health or safety matter or condition, including
