Consolidated Cash Flows definition

Consolidated Cash Flows means, for any period, (a) Consolidated Net Income of the Company and its Subsidiaries for such period, PLUS (b) all noncash items otherwise deducted in calculating the Consolidated Net Income of the Company and its Subsidiaries for such period LESS (c) the sum of (i) all noncash items otherwise added in calculating the Consolidated Net Income of the Company and its Subsidiaries for such period, (ii) the aggregate amount of all Restricted Payments made on or in respect of any shares of capital stock of the Company during such period to the extent otherwise permitted to be made under Section 9.5, (iii) the aggregate amount of all regularly scheduled payments of Subordinated Indebtedness made during such period and (iv) unless the applicable conditions set forth in Section 4 cannot be satisfied as of any requested Purchase Date during such period, the aggregate Available Commitments of you and the Other Purchasers, if any, remaining on the last day of such period.
Consolidated Cash Flows for any period means the Guarantor's consolidated net income for such period, excluding any cumulative effect of a change in accounting principles since the beginning of the relevant period, plus the following items (i)-(iv), in each case to the extent such items were deducted when calculating the Guarantor's consolidated net income for such period: (i) any non-recurring loss, including any loss realized in connection with any asset sale or disposition of securities; (ii) provision for income taxes; (iii) interest expense; and (iv) depreciation and amortization (including amortization of goodwill and other intangibles but excluding amortization of prepaid cash expenses that were paid in a prior period) and other non-cash expenses, including currency exchange and translation losses (excluding bad debt expense and any such non-cash expense to the extent that it represents an accrual of or reserve for cash expenses in any future period or amortization of a prepaid cash expense that was paid in a prior period); minus the following items (v) and (vi), in each case to the extent such items increased the Guarantor's consolidated net income for such period: (v) any non-recurring gain, including any gain realized in connection with any asset sale or disposition of securities; and (vi) any non-cash items, including currency exchange and translation gains, other than items in the ordinary course of business, all as determined on a consolidated basis in accordance with U.S. GAAP;

  • Consolidated Net Interest Expense means, with respect to any Person for any period, (a) gross interest expense of such Person and its Subsidiaries for such period determined on a consolidated basis and in accordance with GAAP (including, without limitation, interest expense paid to Affiliates of such Person), less (b) the sum of (i) interest income for such period and (ii) gains for such period on Hedging Agreements (to the extent not included in interest income above and to the extent not deducted in the calculation of gross interest expense), plus (c) the sum of (i) losses for such period on Hedging Agreements (to the extent not included in gross interest expense) and (ii) the upfront costs or fees for such period associated with Hedging Agreements (to the extent not included in gross interest expense), in each case, determined on a consolidated basis and in accordance with GAAP.

  • Consolidated EBITDAR means, for any period, Consolidated EBITDA for such period plus, to the extent deducted in determining Consolidated EBITDA for such period, Consolidated Rental Expense.

  • Consolidated Total Capital means, as of any date of determination, the sum of (i) Consolidated Indebtedness and (ii) Consolidated Net Worth at such time.

  • Consolidated Total Net Debt means, as of any date of determination, the aggregate principal amount of Indebtedness of the Borrower and its Restricted Subsidiaries outstanding on such date, in an amount that would be reflected on a balance sheet prepared as of such date on a consolidated basis in accordance with GAAP (but excluding the effects of any discounting of Indebtedness resulting from the application of purchase accounting in connection with the Transactions or any Permitted Acquisition), consisting of Indebtedness for borrowed money, purchase money indebtedness, Attributable Indebtedness, and debt obligations evidenced by promissory notes, bonds, debentures, loan agreements or similar instruments, minus the aggregate amount of all unrestricted cash and Cash Equivalents on the balance sheet of the Borrower and its Restricted Subsidiaries as of such date; provided that Consolidated Total Net Debt shall not include Indebtedness (i) in respect of letters of credit (including Letters of Credit), except to the extent of unreimbursed amounts thereunder; provided that any unreimbursed amount under commercial letters of credit shall not be counted as Consolidated Total Net Debt until three Business Days after such amount is drawn, (ii) for the avoidance of doubt, Non-Financing Lease Obligations and (iii) of Unrestricted Subsidiaries; it being understood, for the avoidance of doubt, that obligations under Swap Contracts do not constitute Consolidated Total Net Debt.

  • Consolidated Total Leverage Ratio means, as of any date of determination, the ratio of (a) Consolidated Total Indebtedness on such date to (b) Consolidated EBITDA for the period of four (4) consecutive fiscal quarters ending on or immediately prior to such date.
