Examples of Holders’ Meeting in a sentence
Subject to Clause 19.4.6, the Trustee may resign by giving notice to the Issuer and the Holders, in which case the Holders shall appoint a successor Trustee at a Holders’ Meeting convened by the retiring Trustee or by way of Written Procedure initiated by the retiring Trustee.
The Person requesting the decision may suggest the form for decision making, but if it is in the Trustee’s opinion more appropriate that a matter is dealt with at a Holders’ Meeting than by way of a Written Procedure, it shall be dealt with at a Holders’ Meeting.
If a representative/proxy shall attend the Holders’ Meeting instead of the Holder, the representative/proxy shall present a duly executed proxy or other document establishing its authority to represent the Holder.
A matter decided at a duly convened and held Holders’ Meeting or by way of Written Procedure is binding on all Holders, irrespective of them being present or represented at the Holders’ Meeting or responding in the Written Procedure.
If a quorum does not exist at a Holders’ Meeting or in respect of a Written Procedure, the Trustee or the Issuer shall convene a second Holders’ Meeting (in accordance with Clause 16.1) or initiate a second Written Procedure (in accordance with Clause 17.1), as the case may be, provided that the relevant proposal has not been withdrawn by the Person(s) who initiated the procedure for Holders’ consent.
