Company ERISA Plan definition

Company ERISA Plan shall have the meaning set forth in Section 5.12.
Company ERISA Plan means any ERISA Plan of the Company or any of its Subsidiaries.

  • Any of the Company Benefit Plans which is an “employee pension benefit plan,” as that term is defined in ERISA Section 3(2), and which is maintained solely or primarily for current or former employees who are or were employed in the United States, is referred to herein as a “Company ERISA Plan.” Each Company ERISA Plan which is also a “defined benefit plan” (as defined in Internal Revenue Code Section 414(j)) is referred to herein as a “Company Pension Plan.
