Common Software definition

Common Software means the New York Stock Exchange proprietary software used as a utility to develop and operate the Central Services Systems.
Common Software is defined in Section 3.3.
Common Software shall be defined to include executable files developed other than for HIG, owned or licensed by us to perform tasks that are common or similar to other development applications including, but not limited to, (i) Software engines used to develop or host the Project whether developed or owned by Vectrix; (ii) Software developed by Vectrix necessary for the operation of the Project, excluding Custom Software; and (iii) manuals, documents, and other Material that is not Custom Software, provided to you with the Software. We have all right, title, and interest (including ownership of copyright) into the Common Software. We will deliver one copy of the specified Common Software to you. We grant you an irrevocable, perpetual, nonexclusive, nontransferable except in the event of merger, acquisition or change of control of HIG, royalty-free, ----------- 10 Vect▇▇▇.▇▇▇ ----------- Client 11 fully paid-up, worldwide license to use, possess, execute, reproduce, display, perform, and distribute copies of Common Software within your Enterprise and in connection with the Project only. License for source code of Common Software is not included. You agree not to modify, disassemble, decompile or otherwise reverse engineer the Common Software.

Examples of Common Software in a sentence

  • Bell Tech Expert service is a personal, non-commercial, residential, technical assistance service that offers support for your IP connected device(s), Common Software (defined below), and other peripherals that connect to your device(s), such as your modem, printer, scanner and monitor (collectively, “Eligible Equipment”) as further described in Section 5 below (the "Service").

  • All or some of a Common Software Programme’s source codes can be included in this appendix, if agreed between the Parties.

  • Consequently, all publication or communication plans must be submitted to the prior opinion of the other Parties who may remove or modify certain aspects the disclosure of which could bear prejudice to the industrial and commercial use, under proper conditions, of the Results, patents and Common Software.

  • Common Software refers to Software developed “from scratch” within the framework of the thesis or which brings a new function to Proprietary Software but is not exclusively dependent on the Proprietary Software as it can operate with other Software.

  • The Common Software is co-owned by the parties, in shares proportional to their material, human, intellectual and financial contributions.

  • The co-ownership of Common Software does not transfer the rights to Proprietary Software to the other Parties.

Related to Common Software

  • System Software means machine-readable data and executable programs used to define the functionality of the HPS control system and standard hardware products, but does not include firmware, operating system, application software or other software products.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Application Software means Software formulated to perform specific business or technical functions and interface with the business or technical users of the System and is identified as such in Appendix4 of the Contract Agreement and such other Software as the parties may agree in writing to be Application Software.

  • Hosted Software means: (a) Hosted NCR Voyix Software; and (b) Non-NCR Voyix Software provided by a third party as a hosted software application or cloud service and for which Customer purchases a subscription through NCR Voyix pursuant to an Order (“Non-NCR Voyix Hosted Software”).

  • Embedded Software means one or more software applications which permanently reside on a computing device.
