Common Registrable Securities definition

Common Registrable Securities means (a) shares of Common Stock issued to the Common Stockholders and (b) any Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right or other security which is issued as) a dividend or other distribution with respect to, or in exchange for or in replacement of, such above-described securities. Notwithstanding the foregoing, Common Registrable Securities shall not include any other securities of the Company (i) sold by any person to the public either pursuant to a registration statement under the Securities Act or Rule 144 or (ii) with respect to which the registration rights of the Holder thereof have expired pursuant to Section 2.8 hereof.
Common Registrable Securities means any shares of Common Stock (i) issued on or after the Effective Date to Eligible Holders who are parties hereto as of the Effective Date or become a party hereto or (ii) held or deemed to be held by Eligible Holders, including any Common Stock issued pursuant to the Plan, upon the conversion or exercise of any other securities, and any Common Stock issued or issuable with respect to any of the foregoing securities by way of a stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization, or upon conversion or exercise of any such securities; provided that such securities shall cease to be Common Registrable Securities when they have (A) been effectively registered under the Securities Act and disposed of in accordance with the Registration Statement covering them, (B) been distributed to the public through a broker, dealer or market maker pursuant to Rule 144 under the Securities Act (or any similar rule promulgated by the Commission then in force), or (C) cease to be outstanding.
Common Registrable Securities means Common Stock (including the Warrant Shares) and any securities issued directly or indirectly with respect to such Common Stock by way of a split, dividend, or other division of securities, or in connection with a combination of securities, recapitalization, merger, consolidation, or other reorganization.

More Definitions of Common Registrable Securities

Common Registrable Securities means (i) the shares of Common Stock issued pursuant to the Merger in exchange and conversion of the shares of Company Common Stock; (ii) the shares of Common Stock issuable upon the exercise of Options issued pursuant to the Merger in exchange for Company Options; (iii) the shares of Common Stock issuable upon the exercise of Warrants issued pursuant to the Merger in satisfaction of the Warrant Right; and (iv) any shares of Common Stock issued or issuable upon any stock split, dividend or other distribution, recapitalization, anti-dilution adjustment or similar event with respect to the foregoing.
Common Registrable Securities means the Common Stock held by the Holders.
