Class C Director definition

Class C Director means, collectively, the director of the Board elected by the holders of the Class C Common Stock in accordance with the Certificate of Incorporation.

Examples of Class C Director in a sentence

• Any action required or permitted to be taken by the Board of Directors may be taken without a meeting if at least one Class C Director and at least one Class P Director (or their alternates who have been appointed pursuant to Section 5.3(b) above) shall individually or collectively consent in writing to such action.

• Any loan by a Member to the Company with the required consent of the Board of Directors shall be separately entered on the books of the Company as a loan to the Company and not as a Capital Contribution, and shall be evidenced by a promissory note duly executed by at least one Class C Director and one Class P Director on behalf of the Company and delivered to the lending Member.

• Any vacancies resulting from death, resignation, disqualification, removal or other cause with respect to a Class C Director shall be filled only by the affirmative vote of a majority of the remaining Class C Directors then in office, even if less than a quorum of the Board, or by the sole remaining Class C Director, if there is only one then in office.

• Such general comprehensive liability insurance of such nature and in such amount as Brookfield Residential shall deem advisable protecting Brookfield Residential and the Association relating to the operation of the Association including the development, construction of and initial management and operation of the Orchards Amenities in respect of liability and/or damage because of bodily injury and injury to or destruction of property arising out of such activities.

• Any Class C Director may be removed at any time, without cause, by majority vote of the holders of the Class C Securities, voting together as a single class.

More Definitions of Class C Director

Class C Director has the meaning set forth in paragraph (a) of Article Fifth.

Class C Director means any director of UGC that is designated as a Class C Director by the restated certificate of incorporation of UGC.

Class C Director has the meaning assigned to such term in the Charter as in effect at consummation of the Offering.

Class C Director means a Director designated by the Class C Members.

Class C Director means each director of the Company that Deerfield is entitled to elect pursuant to this Agreement.
