Bulk Sales Waiver. Sellers and Buyer each waive compliance by the other with any bulk sales or similar laws that may be applicable to the Transaction contemplated by this Agreement.
Bulk Sales Waiver. The parties waive compliance with any “bulk sales” and similar laws applicable to the Transactions.
Bulk Sales Waiver. Bulk Sales Waiver. Notwithstanding anything to the contrary herein, each of Buyer and Sellers hereby waive compliance with all “bulk sales,” “bulk transfer” and similar Laws that may be applicable with respect to the sale and transfer of any or all of the Purchased Assets to Buyer.

Purchaser and its Affiliates acknowledge that Seller and its Affiliates have not taken, and do not intend to take, any actions required to comply with any applicable “bulk transfer law” or “bulk sales law” (or any similar law) of any jurisdiction. Purchaser and its Affiliates hereby waive compliance by Seller and its Affiliates with the provisions of any “bulk transfer law” or “bulk sales law” (or any similar law) of any jurisdiction in connection with the transactions contemplated by this Agreement.
Bulk Sales Waiver. Seller waives any requirement of Buyer to comply with any applicable notice requirements pertaining to bulk sales or other similar laws. Seller shall indemnify, defend and hold Buyer harmless for, from and against any liability resulting from such waiver.
