Borrower Change of Control definition

Borrower Change of Control means that the Administrative Agent determines, acting reasonably, that the Guarantor ceases to control the Borrower. For the purposes of this definition, "control" of the Borrower means that each of the below are satisfied:
Borrower Change of Control means, the occurrence of one or more of the following events:
Borrower Change of Control means any change of control of the Borrower that results in the Borrower not being directly controlled by XOMA.

  • If a Borrower Change of Control or a Guarantor Early Redemption Event (each, an “Early Re- Rückzahlungsereignis (jedes ein „Vorzeitiges Rückzahlungsereignis“) eintritt, hat jeder Gläubiger das Recht, von der Darlehensnehme- rin die Rückzahlung seines Anteils am Darlehen am dreißigsten Tag nach der Ausübung des Rückzahlungsrechts (dem „Vorzeitigen Rück- zahlungstag“) zum Vorzeitigen Rückzahlungs- betrag zuzüglich aufgelaufener Zinsen bis zum Vorzeitigen Rückzahlungstag (ausschließlich) zu verlangen.

  • Notwithstanding anything contained herein to the contrary, the Holder may not elect an exchange pursuant to Section 2(b) or this Section 7 from or after a Borrower Change of Control or a Public Company Change of Control.

  • The Borrower shall give the Holder not less than 30 days prior written notice of a Borrower Change of Control or a Public Company Change of Control, which notice shall set forth in reasonable detail the material terms of such transaction (“ Change of Control Notice”).

  • If after the Holder delivers an election notice within such specified time period, a Borrower Change of Control or a Public Company Change of Control occurs, then the Holder will receive cash equal to the Payment Amount in lieu of Exchange Shares as provided in this Section 2(b).

  • A Borrower Change of Control or a Guarantor Change of Control occurs.


More Definitions of Borrower Change of Control

Borrower Change of Control shall be deemed to have occurred if any of the following occur:
Borrower Change of Control means any event or circumstance whereby the Guarantor ceases to Control the Borrower;
Borrower Change of Control means any event or transaction, or series of related events or transactions, as a result of which (i) Parent ceases to hold and control, directly, 100% of the voting equity of Borrower, as determined by the Calculation Agent or (ii) HNA or any other Subsidiary of HNA Group Co., Ltd. ceases to hold and control, directly or indirectly, 100% of the voting equity of Parent, as determined by the Calculation Agent.
Borrower Change of Control means any person or group of persons acting in concert gains direct or indirect control of the Borrower. For the purposes of this definition:
Borrower Change of Control means that, without the prior consent of the Creditors, the Guarantor gives up the direct or indirect control over the Borrower or does no longer hold the majority of the share capital in the Borrower
Borrower Change of Control means and include the occurrence of any of the following events: any Person, entity or “group” (within the meaning of Section 13(d) or 14(d) of the Securities Exchange Act of 1934), other than Assured or one of its Affiliates, individually or taken as a whole, (a) shall have acquired beneficial ownership of 50% or more of any outstanding class of capital stock of the Borrower having ordinary voting power in the election of directors or (b) shall have obtained the power (whether or not exercised) to elect the majority of the Board of Directors of the Borrower; provided that this definition of “Borrower Change of Control” shall exclude any Borrower Change of Control that would otherwise result from a transaction permitted by Section 9.01.
Borrower Change of Control means any event or transaction, or series of related events or transactions, as the result of which a “person” or “group” (other than Guarantor, any of its Subsidiaries and any of its or their employee benefit plans) becomes the “beneficial owner” of more than 50% of Borrower’s common equity (all within the meaning of Section 13(d) of the Exchange Act).
