AndroGel Litigation definition

AndroGel Litigation means any existing or future Proceedings (asserted, instituted or rendered, or otherwise existing or occurring, at, or at any time after, the Closing Date) filed in any court or before any arbitral body in the Territory against one or more Sold Companies asserting one or more claims (whether based on common Law or statute and whether civil or criminal) that the entering into, or performance of the provisions of, the AndroGel Agreements violate any Competition/Investment Laws or other Laws in the Territory, in each case which arise out of or are related to any action, inaction, event or condition which occurred or existed prior to the Closing Date, including (a) the FTC Proceeding or (b) those Proceedings listed on S chedule 1.1(b).
AndroGel Litigation means any existing or future Proceedings (asserted, instituted or rendered, or otherwise existing or occurring, at, or at any time after, the Closing Date) filed in any court or before any arbitral body in the Territory against one or more Sold Companies asserting one or more claims (whether based on common Law or statute and whether civil or criminal) that the entering into, or performance of the provisions of, the AndroGel Agreements violate any Competition/Investment Laws or other Laws in the Territory, in each case which arise out of or are related to any action, inaction, event or condition which occurred or existed prior to the Closing Date, including (a) the FTC Proceeding or (b) those Proceedings listed on Schedule 1.1(b).

Related to AndroGel Litigation

  • Pending Litigation means a proceeding in a court of law whose activity is in progress but not yet completed.

  • Threatened litigation as used herein shall include governmental investigations and civil investigative demands. “Litigation” as used herein shall include administrative enforcement actions brought by governmental agencies. The Contractor must also disclose any material litigation threatened or pending involving Subcontractors, consultants, and/or lobbyists. For purposes of this section, “material” refers, but is not limited, to any action or pending action that a reasonable person knowledgeable in the applicable industry would consider relevant to the Work under the Contract or any development such a person would want to be aware of in order to stay fully apprised of the total mix of information relevant to the Work, together with any litigation threatened or pending that may result in a substantial change in the Contractor’s financial condition.

  • Transaction Litigation has the meaning set forth in Section 5.2(d).

  • Material Litigation is defined in Section 6.7.

  • Disclosed Litigation has the meaning specified in Section 3.01(b).

  • Litigation means any action, suit or proceeding before any court, mediator, arbitrator or Governmental Authority.

  • Litigation Claims means the claims, rights of action, suits or proceedings, whether in law or in equity, whether known or unknown, that any Debtor or any Estate may hold against any Person or Entity, including, without limitation, the Causes of Action of the Debtors or their Estates, in each case solely to the extent of the Debtors’ or their Estates’ interest therein. A non-exclusive list of the Litigation Claims held by the Debtors as of the Effective Date will be Filed with the Plan Supplement, which will be deemed to include any derivative actions filed against any Debtor as of the Effective Date.

  • dispute resolution proceeding ’ means any process in which an alternative means of dispute resolution is used to resolve an issue in controversy in which a neutral is appointed and specified parties participate;

  • Third Party Infringement Claim has the meaning set forth in Section 5.4.

  • Complaint Investigation means an investigation of any complaint that has been made to a proper authority that is not covered by an abuse investigation.

  • Infringement Claim means a third party claim alleging that the Equipment manufactured by Motorola or the Motorola Software directly infringes a United States patent or copyright.

  • Civil action means all suits or claims of a civil nature in a state or federal court, whether cognizable as cases at law or in equity or admiralty. "Civil action" does not include any of the following:

  • Dispute Resolution Process means the process described in clause 9

  • Third Party Infringement has the meaning set forth in Section 5.1.

  • clinical investigation means any systematic investigation in one or more human subjects, undertaken to assess the safety or performance of a device;

  • Lawsuit means any lawsuit, arbitration or other dispute resolution filed by either party herein pertaining to any of this Warrant, the Facility Agreement and the Registration Rights Agreement.

  • Regents' Patent Rights means REGENTS' rights in (a) the patent and patent applications expressly identified in Appendix C and their foreign counterparts;

  • Dispute Resolution Scheme means the Electricity and Gas Complaints Commission or such other dispute resolution scheme approved or provided for in accordance with section 95 of the Act;

  • Background investigation means the investigation conducted by a licensee or applicant to support the determination of trustworthiness and reliability.

  • Intellectual Property Claim means the assertion by any Person of a claim (whether asserted in writing, by action, suit or proceeding or otherwise) that any Borrower’s ownership, use, marketing, sale or distribution of any Inventory, Equipment, Intellectual Property or other property or asset is violative of any ownership of or right to use any Intellectual Property of such Person.

  • Plaintiffs’ Releasees means Lead Plaintiffs, all other plaintiffs in the Action, their respective attorneys, and all other Settlement Class Members, and their respective current and former officers, directors, agents, parents, affiliates, subsidiaries, successors, predecessors, assigns, assignees, employees, and attorneys, in their capacities as such.

  • Adverse Proceeding means any action, suit, proceeding (whether administrative, judicial or otherwise), governmental investigation or arbitration (whether or not purportedly on behalf of Holdings or any of its Subsidiaries) at law or in equity, or before or by any Governmental Authority, domestic or foreign (including any Environmental Claims), whether pending or, to the knowledge of Holdings or any of its Subsidiaries, threatened against or affecting Holdings or any of its Subsidiaries or any property of Holdings or any of its Subsidiaries.

  • Complaints Procedure means the School's procedure for handling complaints from parents, as amended from time to time for legal or other substantive reasons, or in order to assist the proper administration of the School. It does not form part of the contract between you and the School. A copy of the most up-to-date procedure is on the School's website and is otherwise available from the School at any time upon request;

  • Adverse action means a home or remote state action.

  • Infringement Action has the meaning set forth in Section 9.6(b).

  • Unresolved Claims has the meaning set forth in Section 7.6(c).
