Amalco Redeemable Preferred Shares means the redeemable preferred shares in the capital of Amalco, the terms of which are set out in Schedule A to the Amalgamation Agreement;

Amalco Redeemable Preferred Shares means the redeemable preferred shares in the capital of Amalco having the rights, privileges, restrictions, and conditions set forth in Schedule A;

Amalco Redeemable Preferred Shares has the meaning ascribed thereto in Section 2.3;

No dividend shall be paid or set apart for payment if such payment would affect the ability of Amalco to redeem all of the then issued and outstanding Amalco Redeemable Preferred Shares.
For greater certainty, (i) the stated capital of the Amalco Common Shares shall be equal to the stated capital of the common shares of Acquiror Sub 3, (ii) the stated capital of the Amalco Convertible Preferred Shares shall be equal to the stated capital of the Company Preferred Shares and (iii) the stated capital of the Amalco Redeemable Preferred Shares shall be equal to the stated capital of the Company Common Shares.

More Definitions of Amalco Redeemable Preferred Shares

Amalco Redeemable Preferred Shares means the Series A redeemable, retractable preferred shares in the capital of Amalco, having the rights, privileges, restrictions and conditions set out in Schedule B to the Amalgamation Agreement;

Amalco Redeemable Preferred Shares means the class A redeemable preferred shares in the share capital of Amalco having the rights, privileges, restrictions and conditions set forth in Schedule A hereto, which forms an integral part hereof;

Amalco Redeemable Preferred Shares means the redeemable preferred shares in the capital of Amalco having the rights, privileges, restrictions and conditions set forth in section 27.2 of the articles of Amalco, a copy of which articles is attached hereto as Appendix II;

Amalco Redeemable Preferred Shares means the Redeemable Preferred Shares in the capital of Amalco, which shall be redeemable for the Amalco Redeemable Preferred Share Consideration upon the election of Amalco.
