This is to confirm that Credit Suisse Asset Management Securities, Inc. shall be the distributor of shares of beneficial interest, par value $.001 per share, issued by the Blue Chip Portfolio, the High Yield Portfolio, the Small Cap Value Portfolio and the Strategic Small Cap Portfolio of Credit Suisse Warburg Pincus Trust (the "Trust") under terms of the Distribution Agreement between the Trust and Credit Suisse Asset Management Securities, Inc., dated August 1, 2000.

In accordance with Article 10 of the Transfer Agency and Service Agreement, dated February 5, 2001 (the "Agreement"), between Credit Suisse Trust (the "Trust") and Boston Financial Data Services, Inc. ("BFDS"), the Trust hereby notifies BFDS of the Trust's desire to have BFDS render services as transfer agent under the terms of the Agreement with respect to the Global Telecommunications Portfolio, a series of shares of the Trust.

In accordance with Article 20 of the Custodian Services Agreement Terms and Conditions, dated October 20, 2000 (the "Agreement"), between Credit Suisse Warburg Pincus Trust (the "Trust") and State Street Bank and Trust Company (the "Bank"), the Trust hereby notifies the Bank of the Trust's desire to amend Exhibit of the Agreement to include the Blue Chip Portfolio, a series of shares of beneficial interest of the Trust (the "Portfolio"), and to have the Bank render services as custodian under the terms of the Agreement with respect to the Portfolio.

This letter constitutes our agreement with respect to compensation to be paid to PFPC Inc. ("PFPC") under the terms of a Co-Administration Agreement dated June 20, 1995, between you (the "Trust") and PFPC, as amended. Pursuant to Paragraph 11 of that Agreement, and in consideration of the services to be provided to you, on behalf of the Global Telecommunications Portfolio (the "Portfolio") you will pay PFPC an annual co-administration fee, to be calculated daily and paid monthly. You will also reimburse PFPC for its out-of-pocket expenses incurred on behalf of the Portfolio, including, but not limited to: postage and handling, telephone, telex, FedEx and outside pricing service charges.
