Written Opinion of Financial Advisor. Company has received ------------------------------------ the written opinion of Xxxxxxxxx & Xxxxx, dated March 23, 1999 (a true, correct and complete copy of which has been delivered to Parent by Company), to the effect that, based upon and subject to the matters set forth therein and as of the date thereof, the Offer Consideration and the Merger Consideration to be received by the holders of Shares in the Offer and the Merger, respectively, is fair, from a financial point of view, to such holders and such opinion has not been withdrawn or modified.
Written Opinion of Financial Advisor. The Company has received the written opinion of Lazard, dated December 7, 2003 (a true, correct and complete copy of which has been delivered to Purchaser by the Company), to the effect that, based upon and subject to the matters set forth therein and as of the date thereof, the Per Share Amount to be paid to the holders of Shares in the Offer, is fair, from a financial point of view, to such holders and such opinion has not been withdrawn or modified.
Written Opinion of Financial Advisor. Monroe shall receive within ten (10) days of this Agreement the written fairness opinion of Xxxx Xxxxxx that the Exchange Ratio is fair to the shareholders of Monroe from a financial point of view.
Written Opinion of Financial Advisor. Company has received the written opinion of Credit Suisse First Boston Corporation ("CSFB"), dated September 10, 1997 (a true and complete copy of which has been delivered to Parent by Company), to the effect that, based upon and subject to the matters set forth therein and as of the date hereof, the consideration to be received by the holders of Shares in the Merger was fair to such stockholders from a financial point of view, and such opinion has not been withdrawn or modified.
Written Opinion of Financial Advisor. LSB shall receive as promptly as practicable the written fairness opinion of Sandler X’Xxxxx that the Merger Consideration, as of the date of this Agreement, is fair to the shareholders of LSB from a financial point of view.
Written Opinion of Financial Advisor. ICB shall receive within ten (10) days of this Agreement the written fairness opinion of Sandler X’Xxxxx that the Exchange Ratio, as of the date of this Agreement, is fair to the shareholders of ICB from a financial point of view.
Written Opinion of Financial Advisor. TFC shall receive within ten (10) days of this Agreement the written fairness opinion of KBW that the Merger Consideration is fair to TFC from a financial point of view.
Written Opinion of Financial Advisor. The Purchaser has received a fairness opinion provided by, and the formal valuation of, Barclays Capital Canada Inc. (true and complete copies of which have been delivered to the Vendor by the Purchaser), in connection with the purchase and sale of the Purchased Shares and Purchased Debt, and such fairness opinion and valuation have been neither withdrawn nor modified.
Written Opinion of Financial Advisor. MBT shall take action to cause Boenning to provide within 10 days after the date of this Agreement Boenning’s written fairness opinion that the Merger Consideration is fair to the shareholders of MBT from a financial point of view as of the date of this Agreement.
Written Opinion of Financial Advisor. FCB shall take action to cause Sandler X’Xxxxx + Partners, L.P., to provide within ten (10) days after the date of this Agreement its written 57 fairness opinion that the Merger Consideration is fair to the shareholders of FCB from a financial point of view as of the date of this Agreement.
