Common use of Worldwide Safety Reports Clause in Contracts

Worldwide Safety Reports. Upon Closing, Seller shall sell, transfer, assign, convey and deliver, or shall cause to be sold, transferred, assigned, conveyed and delivered to Buyer, all worldwide safety reports in the possession or control of Seller or its Affiliates with respect to the CV Products in existence as of the Closing (the “Worldwide Safety Reports”).

Upon Closing, Seller shall sell, transfer, assign, convey and deliver, deliver or shall cause to be sold, transferred, assigned, conveyed and delivered to Buyer, a copy of all worldwide safety reports in the possession or control of Seller or its Affiliates with respect to the CV Products API or the Product in existence as of the Closing (the “Worldwide Safety Reports”).

Upon Closing, Seller SELLER shall sell, transfer, assign, convey and deliver, or shall cause to be sold, transferred, assigned, conveyed and shall promptly thereafter transfer and deliver or cause to be promptly transferred and delivered promptly to BuyerBUYER, a hard copy (or electronic copy, if available) of all worldwide safety reports in the possession or control of Seller or SELLER and its Affiliates with respect to the CV Products Active Ingredient or the Product in existence as of the Closing (the “Worldwide Safety Reports”), including any adverse event information arising from the FINESSE trial.
