Common use of Warranty of Authority Clause in Contracts

Warranty of Authority. Each Party warrants to the other Party that it has the power, authority and legal right to enter into, sign and perform in terms of this Contract, and that this Contract has been duly authorised by all necessary actions of its directors or person/s on whose behalf the signatory acts herein.
