Waiver of Conditions to Closing. If any condition to proceed with the Closing hereunder set forth in this Article 7 has not been satisfied as of the Closing Date or other applicable date, then the party or parties for whom such condition exists may nevertheless proceed to Closing, notwithstanding the non-satisfaction of such condition, in which event such party or parties shall be conclusively deemed to have waived any such condition.
Waiver of Conditions to Closing. Each of Buyer and Colonial REIT hereby waives all conditions to the Closing of the transactions under the Agreement and authorizes the funding of the Mortgage Loan.

Waiver of Conditions to Closing. Any waiver of a condition to Closing hereunder by any party shall be in writing executed by the party making such waiver of a condition to Closing and such waiver shall be solely for the purpose of effecting the purchase and sale of the Assets as herein provided for and shall not relieve any party of its obligation in respect of such condition unless such written waiver expressly so provides.
Waiver of Conditions to Closing. The Buyer may waive any or all of the conditions set forth in this Section 7.3, in whole or in part, without prior notice; provided that, unless otherwise agreed by the Parties in writing, such waiver of a condition shall constitute a waiver by the Buyer of all of its rights or remedies, at law or in equity, arising from any breach or default of any of the Sellers’ representations, warranties or covenants made under or pursuant to this Agreement that caused the waived condition to be unsatisfied.

If any of the conditions set forth in Section 8.3 hereof have not been satisfied, Buyer may nevertheless elect to waive (to the extent permitted by applicable Law) such conditions and proceed with the consummation of the transactions contemplated hereby. If any of the conditions set forth in Section 8.4 have not been satisfied, Sellers may nevertheless elect to waive (to the extent permitted by applicable Law) such conditions and proceed with the consummation of the transactions contemplated hereby.
Waiver of Conditions to Closing. Subject to the satisfaction of all of the other conditions to the obligations of Parent and Sub to effect the Merger, Parent and Sub hereby accept the Officer's Certificate in satisfaction of the conditions to their obligations to close set forth in Sections 7.2(a) and 7.2(b) of the Merger Agreement. Without limiting the generality of the proviso contained in Section 6.6 of the Merger Agreement, Meer and the Stockholders acknowledge and agree that the foregoing waiver and the disclosure to Parent and Sub of the Identified Items and the consummation of the Merger shall not be deemed to modify or otherwise affect any of the representations, warranties or obligations of Meer or any of the Stockholders under the Merger Agreement or otherwise limit or affect the remedies available to Parent and Sub under the Merger Agreement or applicable Law.
Waiver of Conditions to Closing. If any condition precedent to Humko's obligations hereunder is not satisfied in Humko's sole discretion by the Closing Date or if any condition precedent to InCon's obligations hereunder is not satisfied in InCon's or Bionutrics' sole discretion by the Closing Date, then Humko, InCon or Bionutrics, as the case may be, may, nevertheless, at its option, proceed with the Closing, in which event it shall be deemed to have waived such condition precedent.

Waiver of Conditions to Closing. Anything in this Agreement ------------------------------- to the contrary notwithstanding, if one or more of the conditions specified in Article VII hereof shall not have been satisfied, Purchaser shall have the right, in addition to any other right which may be available to it, to waive such condition in writing and proceed with the transactions contemplated hereby; and if one or more of the conditions specified in Article VIII hereof shall not have been satisfied, Seller shall have the right, in addition to any other right which may be available to it, to waive such condition in writing and proceed with the transactions contemplated hereby. Any such waiver in writing by either Purchaser or Seller shall constitute a waiver of its rights under the indemnification provisions of Article X with respect to the item or items specifically identified in such waiver.
