VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. Except with respect to shares transferred pursuant to the foregoing right of setoff (and in the case of such shares, until the same are transferred), all Held Back Shares shall be deemed to be owned by the Shareholders and the Shareholders shall be entitled to vote the same; provided, however, that, there shall also be deposited with Republic subject to the terms of this Article, all shares of Republic Common Stock issued to the Shareholders as a result of any stock dividend or stock split and all cash issuable to the Shareholders as a result of any cash dividend, with respect to the Held Back Shares. All stock and cash issued or paid upon Held Back Shares shall be distributed to the person or entity entitled to receive such Held Back Shares together with such Held Back Shares.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. On and after the Purchase Price Delivery Date, except with respect to Held Back Shares transferred to Purchaser pursuant to the foregoing right of set-off, all Held Back Shares shall be deemed to be owned by the Persons specified in the Designee Notice and such Persons shall be entitled to vote the same; provided, however, that, there shall also be deposited with Purchaser, subject to the terms of this Article 9, all shares of Common Stock issuable with respect to the Held Back Shares as a result of any stock dividend or stock spilt and all cash issuable as a result of any cash dividend with respect to the Held Back Shares. All stock and cash issued or paid upon Held Back Shares shall be distributed to the Persons specified in the Designee Notice, together with such Held Back Shares.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. Except with respect to Held Back Shares sold pursuant to the foregoing Section 9.3(c) (and in the case of such shares, until the same are transferred), all Held Back Shares shall be deemed to be owned by the record holders thereof and the record holders shall be entitled to vote the Held Back Shares; provided, however, that, there shall also be deposited with Level 8 subject to the terms of this Article IX, all shares of Level 8 Common Stock, other common or preferred stock of Level 8, cash or assets issued to or paid upon Held Back Shares as a result of any stock or other dividend or distribution or stock split with respect to the Held Back Shares. All stock or other distributions including cash issued or paid upon Held Back Shares shall be delivered to the person or entity entitled to receive such Held Back Shares together with the delivery of such Held Back Shares pursuant to Section 9.5.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. All Held Back Shares held by the Escrow Agent under the Escrow Agreement shall be deemed to be owned by the Shareholders and the Shareholder Representatives shall be entitled to vote the Held Back Shares; provided, however, that there shall also be deposited under the Escrow Agreement, all APAC Common Shares or other assets issued to or paid upon Held Back Shares as a result of any stock or other dividend or distribution or stock split with respect to the Held Back Shares.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. Except with respect to shares transferred pursuant to the foregoing right of setoff (and in the case of such shares, until the same are transferred), all Held Back Shares shall be deemed to be owned by Chensoff and Chensoff shall be entitled to vote the same; provided, however, that, there shall also be deposited with Panthers subject to the terms of this Article, all shares of Panthers Common Stock issued to Chensoff as a result of any stock dividend or stock split and all cash issuable to Chensoff as a result of any cash dividend, with respect to the Held Back Shares. All stock and cash issued or paid upon Held Back Shares shall be distributed to the person or entity entitled to receive such Held Back Shares together with such Held Back Shares.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. Except with respect to shares transferred pursuant to the foregoing right of setoff (and in the case of such shares, until the same are transferred), all Held Back Shares shall be deemed to be owned by B. Quevedo and B. Quevedo shall be entitled to vote the same; PROVIDED, XXXXXXX, that, xxxxx xxall also be deposited with AVS subject to the terms of this Article, all shares of AVS Common Stock issued to B. Quevedo as a result of any stock dividend or stock split and all caxx xxxxxxxe to B. Quevedo as a result of any cash dividend, with respect to the Held Xxxx Xxxxxs. All stock and cash issued or paid upon Held Back Shares shall be distributed to the person or entity entitled to receive such Held Back Shares together with such Held Back Shares.
VOTING OF AND DIVIDENDS ON THE HELD BACK SHARES. Except with respect ----------------------------------------------- to shares transferred pursuant to the right of set-off in Section 6.5 (and in the case of such shares, until the same are transferred), all Held Back Shares shall be deemed to be owned by the Seller, or such other persons or entities in whose names the Seller may instruct the Buyer to reregister the Held Back Shares, who or which shall be entitled to vote the Held Back Shares on all matters presented to the stockholders of the Buyer; provided that (a) the Buyer shall not be required to reregister any Held Back Shares in the name of any person or entity that has not delivered to the Buyer a stock power properly executed in blank with respect to such reregistered Held Back Shares and (b) no such reregistration shall affect the Buyer's rights hereunder with respect to such Held Back Shares. There shall be deposited with the Buyer all shares of Dataware Common Stock issued as a result of any stock dividend or stock split with respect to the Held Back Shares and all cash dividends paid with respect to the Held Back Shares, and all such additional shares and cash shall be held by the Buyer as additional security subject to the provisions of this Article 6. In the event any Held Back Shares are distributed to or at the direction of the Seller, all stock and cash issued or paid upon any Held Back Share shall be distributed together with such Held Back Share.

All stock and cash issued or paid upon Held Back Shares shall be distributed to the person or entity entitled to receive such Held Back Shares together with such Held Back Shares.
