Universal's Representations. Universal represents, warrants and covenants to the following: (i) it shall use commercially reasonable efforts to operate the Restaurant during the term of this Agreement in compliance with the Quality Standards; (ii) it shall not use the Intangible Properties, other than pursuant to and in accordance with the terms of this Agreement or as otherwise agreed to in writing by the parties; (iii) Universal has the right and power to enter into this Agreement; (iv) Universal is a corporation duly organized, validly existing, in good standing under the laws of the state of Delaware; and (v) recitals A, E and G are true and accurate.
