Common use of Top Customers and Suppliers Clause in Contracts

Top Customers and Suppliers. The Company has disclosed to the Purchaser the key customers of the Company (the “Top Customers”) and the key suppliers of goods or services to the Company (the “Top Suppliers”). The relationships of the Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any relationships of such Person with the Company, (ii) no Top Supplier or Top Customer has during the last twelve months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its relationships with the Company or intends to stop, decrease or limit materially its products or services to the Company or its usage or purchase of the products or services of the Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the Company or seek to exercise any remedy against the Company, (iv) the Company has not since the Company Incorporation Date been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier or Top Customer.

Top Customers and Suppliers. The Company has disclosed to Schedule 4.24 lists, by dollar volume received or paid, as applicable, for the Purchaser twelve (12) months ended on December 31, 2020 and December 31, 2019, the key ten (10) largest customers of the Company Target Companies (the “Top Customers”) and the key ten largest suppliers of goods or services to the Company Target Companies (the “Top Suppliers”), along with the amounts of such dollar volumes. The To the Knowledge of the Company, the relationships of the each Target Company with such suppliers Top Suppliers and customers Top Customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the Company or seek to exercise any remedy against the Target Company, and (iv) the no Target Company has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier or Top Customer.

The Company has disclosed to Schedule 6.24 lists, by dollar volume received or paid, as applicable, for (a) the Purchaser twelve (12) months ended on June 30, 2023 and (b) the key twelve (12) months ended on June 30, 2022, the ten (10) largest customers of the Company Target Companies (the “Top Customers”) and the key ten largest suppliers of goods or services to the Company Target Companies (the “Top Suppliers”), along with the amounts of such dollar volumes. The relationships of the each Target Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to has given the Company’s KnowledgeCompany written notice, intends to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened in writing, to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, (iv) the no Target Company has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement and the Ancillary Documents will not adversely affect the relationship of the any Target Company with any Top Supplier or Top Customer.

The Company has disclosed to Schedule 4.24 lists, by dollar volume paid for each of (a) the Purchaser twelve (12) months ended on December 31, 2017 and (b) the key period from January 1, 2018 through September 30, 2018, the ten (10) largest customers or clients of the Company BIG (the “Top Customers”) and the key ten (10) largest suppliers of goods or services to the Company BIG (the “Top Suppliers”), along with the amounts of such dollar volumes of applicable advertising revenues and purchases by the BIG. The relationships of the Company BIG with such suppliers Top Customers and customers Top Suppliers are good commercial working relationships and relationships, and, except as set forth on Schedule 4.24, (i) no Top Supplier Customer or Top Customer Supplier within the last twelve (12) months has cancelled or otherwise terminated, or, to the CompanyBIG’s Knowledge, has threatened to or intends to cancel or otherwise terminate, any relationships relationship of such Person with the CompanyBIG, (ii) no Top Supplier Customer or Top Customer Supplier has during the last twelve (12) months decreased materially or, to the CompanyBIG’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its relationships with the Company BIG or intends to stop, decrease or limit materially its products or services to the Company BIG or its usage or purchase of the products or services of the Companyadvertising from BIG, (iii) to the CompanyBIG’s Knowledge, no Top Supplier Customer or Top Customer Supplier intends to refuse to pay any amount due to the Company BIG or seek to exercise any remedy against the CompanyBIG, (iv) the Company BIG has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier Customer or Top CustomerSupplier, and (v) to the CompanyBIG’s Knowledge, the consummation of the transactions contemplated in this Agreement and the Transaction Documents will not adversely affect the relationship of the Company BIG with any Top Supplier Customer or Top CustomerSupplier.

The relationships of the Company with such suppliers and customers are good commercial working relationships and (i) no No Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Company’s Sellers’ Knowledge, intends to cancel or otherwise terminate, any relationships the relationship of such Person with the a Target Company, (ii) no . The Section 6.23 of the Company has disclosed Disclosure Schedules lists, by dollar volume received by or paid to the Purchaser Target Companies (in aggregate), as applicable, for each of the key twelve (12) months ended on December 28, 2020, the ten (10) largest customers of the Company Target Companies (the “Top Customers”) and the key ten largest suppliers of goods or services to the Company Target Companies (the “Top SuppliersVendors”), along with the amounts of such CNY volumes. The relationships of the each Target Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier Vendor or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, or given written notice to the Company’s Knowledge, intends Company to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier Vendor or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened in writing to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier Vendor or Top Customer intends to refuse to pay any material amount due to the any Target Company or seek to exercise any remedy against the any Target Company, and (iv) the no Target Company has not since within the Company Incorporation Date past twelve (12) months been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier Vendor or Top Customer.

The relationships of the each Target Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, (iv) the no Target Company has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement and the Ancillary Documents will not adversely affect the relationship of the any Target Company with any Top Supplier or Top Customer.

Top Customers and Suppliers. The Company has disclosed to Schedule 4.23 lists, by dollar volume received or paid, as applicable, for each of (a) the Purchaser twelve (12) months ended on December 31, 2020 and (b) the key period from January 1, 2021 through the Interim Balance Sheet Date, the five (5) largest customers of the Company Target Companies (the “Top Customers”) and the key five (5) largest suppliers of goods or services to the Company Target Companies (the “Top Suppliers”), along with the amounts of such dollar volumes. The relationships of the Company with such suppliers and customers are good commercial working relationships and (i) no No Top Supplier or Top Customer within the last twelve (12) months has cancelled canceled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, and (iv) the no Target Company has not since the Company Incorporation Date at any time been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier or Top Customer.

Top Customers and Suppliers. The Schedule 4.23 lists, by dollar volume paid for each of (a) the period from the Company has disclosed Incorporation Date to December 31, 2015, and (b) the Purchaser twelve months ended on December 31, 2016, the key customers of the Company Target Companies (the “Top Customers”) and the key suppliers of goods or services to the Company Target Companies (the “Top Suppliers”). The relationships of the each Target Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, (iv) the no Target Company has not since the Company Incorporation Date been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the any Target Company with any Top Supplier or Top Customer.

Top Customers and Suppliers. The Company has disclosed to Schedule 4.23 lists, by dollar volume paid for each of (a) the Purchaser twelve (12) months ended on December 31, 2014, (b) the twelve (12) months ended on December 31, 2015 and (c) the period from January 1, 2016 through the Interim Balance Sheet Date, the key customers of the Company Target Companies (the “Top Customers”) and the key suppliers of goods or services to the Company Target Companies (the “Top Suppliers”). The relationships of the each Target Company with such suppliers and customers are good commercial working relationships and (i) no Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Company’s Knowledge, intends to cancel or otherwise terminate, any relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, (iv) the no Target Company has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement and the other Ancillary Documents will not affect the relationship of the any Target Company with any Top Supplier or Top Customer.

The relationships of the Company with such suppliers and customers are good commercial working relationships and (i) no No Top Supplier or Top Customer within the last twelve (12) months has cancelled or otherwise terminated, or, to the Knowledge of the Company’s Knowledge, intends to cancel or otherwise terminate, any material relationships of such Person with the a Target Company, (ii) no Top Supplier or Top Customer has during the last twelve (12) months decreased materially or, to the Knowledge of the Company’s Knowledge, threatened to stop, decrease or limit materially, or intends to modify materially its material relationships with the a Target Company or intends to stop, decrease or limit materially its products or services to the any Target Company or its usage or purchase of the products or services of the any Target Company, (iii) to the Knowledge of the Company’s Knowledge, no Top Supplier or Top Customer intends to refuse to pay any amount due to the any Target Company or seek to exercise any remedy against the any Target Company, and (iv) the no Target Company has not since within the Company Incorporation Date past two (2) years been engaged in any material dispute with any Top Supplier or Top Customer, and (v) to the Company’s Knowledge, the consummation of the transactions contemplated in this Agreement will not affect the relationship of the Company with any Top Supplier or Top Customer.
