TIDES. Debentures pursuant to the TIDES Indenture or redemptions of any portion of the TIDES pursuant to the TIDES Declaration of Trust or (d) any optional payment, prepayment or redemption of any Indebtedness or Guarantee Obligations pursuant to the Corporate Credit Agreement or the Equipment Lease Transactions (other than the 2001A Equipment Lease Transaction) or (iii) amend, modify or change, or consent or agree to any amendment, modification or change to any of the terms of any Indebtedness or Guarantee Obligations other than (a) any Indebtedness or Guarantee Obligations pursuant to the Corporate Credit Agreement or the Equipment Lease Transactions (other than the 2001A Equipment Lease Transaction) or (b) any amendment, modification or change which would extend the maturity or reduce the amount of any payment of principal thereof or which would reduce the rate or extend the date for payment of interest thereon, or any amendment or waiver which would render the terms of such Indebtedness or Guarantee Obligations less restrictive. In addition, Holdings and its Subsidiaries will not (i) make any optional or voluntary payment, prepayment, redemption or purchase of the Seller Note or any other payment or distribution with respect to the Seller Note unless such payment or distribution is permitted by the subordination provisions of the Seller Note or (ii) amend, waive, modify or terminate (or consent to any amendment, waiver, modification or termination) of the subordination provisions of the Seller Note or if such amendment, waiver, modification or termination is adverse to the interest of the Lenders.
TIDES. Debentures (and any subordinated debt securities issued in connection with a structured equity financing similar to the TIDES) and (v) any unsecured subordinated debt or any subordinated guarantees not included in clauses (i)-(iv) above and otherwise permitted herein.
TIDES. The Term Rate shall be a rate equal to the Treasury Rate plus 6% per annum. The Term Conversion Price will be equal to 105% of the average Closing Price of the Company's Common Stock for the five (5) consecutive trading days after the Final Remarketing Period. In the event of a Failed Final Remarketing, all outstanding Debentures will be redeemable by the Company, in whole or in part, at any time on or after the third anniversary of the Reset Date at a redemption price equal to 100% of the aggregate principal amount thereof, plus accrued and unpaid interest thereon. On and after the Reset Date, the terms of all Subject Securities, whether or not tendered for remarketing, will be modified by the Term Provisions, as the same shall be established by the Remarketing Agent. If the Subject Securities are not held by The Depository Trust Company or its nominee in the form of one or more Global Security Certificates, certificates representing remarketed Subject Securities will be issued to the purchasers thereof, irrespective of whether the certificates formerly representing such Subject Securities have been delivered to the Tender Agent.

TIDES. Until the Loan Obligations are paid in full and all Commitments are cancelled, Domestic Borrower shall exercise its option to defer interest payments on those certain 7.16% Convertible Junior Subordinated Deferrable Interest Debentures and shall not make such payments.
