Terms of Purchase of Products by Distributor. a) Terms and Conditions. All purchases of Products by Distributor from Manufacturer during the term of this Agreement shall be subject to the terms and conditions of this Agreement. The terms and conditions of this Agreement, including Distributor’s minimum purchase commitments and Distributor’s other obligations to Manufacturer under this Agreement, will not be modified by any such agreement which might separately be reached between Distributor and any third party unless specifically agreed to in writing by Manufacturer.
