Termination upon Bankruptcy Event. Notwithstanding anything to the contrary in this Agreement, this Agreement shall automatically terminate, without notice, upon the occurrence of any of the following circumstances: (a) if Manager shall admit, in writing, that it is unable to pay its debts as same become due; (b) if Manager shall make an assignment for the benefit of creditors; (c) if Manager shall file a voluntary petition under Title 11 of the United States Code or if such petition is filed against it, and an order for relief is entered, or if Manager shall file any petition or answer seeking, consenting to or acquiescing in any reorganization, arrangement, composition, other present or future applicable federal, state or other statute or law, or shall seek or consent to or acquiesce in or suffer the appointment of any trustee, receiver, custodian, assignee, sequestrator, liquidator or other similar official of Manager, or of all or any substantial part of its properties, or if Manager shall take any corporate action in furtherance of any action described in this Section 4.5(c); (d) if within sixty (60) days after the commencement of any proceeding against Manager seeking any reorganization, arrangement, composition, readjustment, liquidation, dissolution or similar relief under the present or any future federal bankruptcy code or any other present or future applicable federal, state or other statute or law, such proceeding shall not have been dismissed or stayed, or if, within ninety (90) days after the appointment, without the consent or acquiescence by Manager, of any trustee, receiver, custodian, assignee, sequestrator, liquidator or other similar official of Manager or of all or any substantial part of its properties or such appointment shall not have been vacated or stayed on appeal or otherwise, or if, within sixty (60) days after the expiration of any such stay, such appointment shall not have been vacated; or (e) upon the dissolution or liquidation of Manager. 4.6
Termination upon Bankruptcy Event. Either party shall have the right to terminate this Agreement by giving written notice to the other party in the event that such other party files a petition in bankruptcy or is adjudicated bankrupt or insolvent, or makes an assignment for the benefit of creditors, or an arrangement pursuant to any bankruptcy law, or if such party discontinues or dissolves its business, or if a receiver is appointed for such party or for such party's business and such receiver is not discharged or its appointment stayed within 120 days.
Termination upon Bankruptcy Event. In the event that a party hereto files, or there is filed against a party hereto a petition under any of the provisions of the United States Bankruptcy Code, any bankruptcy law or any similar applicable law, statute or regulation, which filing is not vacated or dismissed within sixty (60) days, or any assignment for the benefit of creditors is made by a party, or if a receiver is appointed over the assets of a party, or if a party shall become unable to pay its debts and bills generally as they become due, the other party may terminate this Agreement immediately by giving written notice thereof to such party.
Termination upon Bankruptcy Event. If, during the Term, a Party undergoes a Bankruptcy Event, then, subject to applicable Laws and the terms of this Agreement, the other Party may terminate this Agreement in its entirety upon thirty (30) days’ prior written notice to the bankrupt Party.

  • Acceleration Upon a Change of Control Subject to any additional acceleration of exercisability described in Sections 4(b), (c) and (d) below, in connection with a Change of Control (as defined in Section 1 above), the vesting and exercisability of fifty percent (50%) of Executive’s outstanding Stock Awards shall be automatically accelerated. The foregoing provision is hereby deemed to be a part of each such Stock Award and to supersede any less favorable provision in any agreement or plan regarding such Stock Award.
