Termination of Prior Agreement. Upon the effectiveness of this Agreement, the Prior Agreement shall terminate and be of no further force and effect, and shall be superseded and replaced in its entirety by this Agreement.
Termination of Prior Agreement. All prior Distribution Agreements between the parties are hereby terminated.
Termination of Prior Agreement. The Parties hereby agree that upon the effectiveness of this Agreement, the Prior Agreement will be terminated.
Termination of Prior Agreement. Citibank, as Agent under the Prior Agreement (the “Existing Agent”), and each of the Banks party to the Prior Agreement (the “Existing Banks”), hereby confirms, with respect to the Prior Agreement to which it is a party, that upon the Existing Agent’s receipt of all principal, accrued interest, fees, expenses, costs and other amounts outstanding under the Prior Agreement, and the Existing Agent’s distribution of such amounts to the Existing Banks under the Prior Agreement and any other parties entitled thereto, the Prior Agreement and the commitments of the Existing Banks thereunder shall be terminated, and all of the Borrowers’ obligations to the Existing Agent and the Existing Banks under the Prior Agreement shall be terminated (other than contingent indemnity obligations and any other obligations which by the terms of the Prior Agreement expressly survive the termination of such Prior Agreement). Each of the Borrowers hereby acknowledges and agrees to the termination of the Prior Agreement pursuant to this Section 8.16.
Termination of Prior Agreement. The Prior Agreement shall remain in full force and effect until the Effective Date. Thereafter, on the Effective Date, Executive and the Bank hereby agree that the Prior Agreement shall be terminated without any further action of any of the parties thereto. Executive hereby acknowledges and agrees that Executive has no contractual rights to any payments or benefits under the Prior Agreement as of the Effective Date.
Termination of Prior Agreement. Immediately upon the ------------------------------ commencement of Executive's employment pursuant to the terms of this Agreement, that certain Employment Agreement by and between Executive and the Company dated as of January 1, 1997, shall terminate and shall be of no further force or effect.
Termination of Prior Agreement. Upon the execution of this Agreement, all prior employment agreements between the Employee, and the Company or any of its affiliates, subsidiaries, and predecessor constituent corporations are terminated and of no further force and effect.
Termination of Prior Agreement. This Agreement supersedes the Confidentiality Agreement between the Parties dated September 9, 1994. All Information exchanged between the Parties under that Agreement shall be deemed Confidential Information and shall be subject to the terms of this Article 11.
