TERMINATION BY. PAE Other Than for Cause, Disability or Death; Termination by Executive for Good Reason Prior to March 19, 2024. Notwithstanding Section 4.03, if PAE elects to terminate Executive’s employment for any reason other than Cause, Disability or death or if Executive terminates Executive’s employment with PAE for Good Reason, and such termination occurs on or prior to March 18, 2024, Executive shall receive the payments and benefits set forth in this Section 4.05 in lieu of the payments and benefits set forth in Section 4.03. In the event of such termination, Executive shall be entitled to the Accrued Rights and, provided that Executive has provided a Release and the Release has become effective and irrevocable prior to the 60th day after such termination of employment, Executive shall be entitled to the following:
