The Executive may terminate this Agreement at any time upon 120 days written notice to the Company, in which event the Executive shall be paid through the date of termination. During a period of 180 days following any such termination by the Executive, the Executive agrees to provide such consulting services to the Company as it may reasonably request, at such time or times within such period as may be mutually agreed upon between the Company and the Executive. The Executive shall be compensated for any such consulting services at 120% of the daily rate when last employed by the Company plus reimbursement for any reasonable out-of-pocket expenses incurred by the Executive in rendering such consulting services.
