Termination by PSI 8. 2 Ukončení ze strany PSI Throughout the course of this Agreement, PSI and Sponsor reserve the right at any time upon written notice to the Institution and the Investigator to: (i) instruct the Investigator to discontinue recruiting Study Subjects; (ii) terminate this Agreement with immediate effect if the Institution or the Investigator is in material breach of this Agreement; (iii) terminate this Agreement with immediate effect if the Investigational Medicinal Product or continuation of the Study presents an unreasonable medical risk to the Study Subjects; or if there are efficacy concerns; (iv) terminate this Agreement with immediate effect if Study is terminated or suspended or if the clinical trial agreement between PSI and Sponsor is terminated, and (v) terminate this Agreement without cause with a notice period of thirty (30) calendar days. Nevyloučení a 10. Protiúplatková a protikorupční ustanovení. PSI smí též po dohodě se Zadavatelem ukončit tuto Smlouvu bez uvedení důvodu s výpovědní lhůtou třiceti třicet (30) kalendářních dnů.

PSI, in consultation with the clinical trial agreement between PSI and Sponsor is terminatedSponsor, and (v) may also terminate this Agreement without cause with a notice period of upon thirty (30) calendar days’ notice. Po dohodě se Zadavatelem a (v) ukončit smí PSI tuto Smlouvu ukončit také bez uvedení udání důvodu s výpovědní lhůtou třiceti třicet (30) kalendářních dnů.

Během existence této Smlouvy, si PSI a Zadavatel vyhrazují právo kdykoli: (i) vydat pokyn Hlavnímu zkoušejícímu, aby přerušil nábor Subjektů hodnoceníkalendárnych dní od doručenia písomného oznámenia; (ii) s okamžitou platností ukončit tuto Smlouvu ak PSI alebo Zadávateľ v případě jejího porušení Zdravotnickým zařízením nebo Hlavním zkoušejícímdobrej viere majú za to, že Skúšané lieky alebo pokračovanie Štúdie predstavuje neprimerané zdravotné riziko pre subjekty skúšania alebo ak existujú obavy o účinnosti alebo bezpečnosti lieku; (iii) s okamžitou platností ukončit tuto Smlouvu, pokud by Hodnocený léčivý přípravek nebo pokračování ve Studii představovalo nepřiměřené riziko pro Subjekty hodnoceníak z akéhokoľvek dôvodu dôjde k prerušeniu Štúdie alebo nedôjde k jej začatiu v Inštitúcii; alebo (iv) s okamžitou platností ukončit tuto Smlouvuak dôjde k ukončeniu zmluvy o Štúdii medzi Zadávateľom a PSI. PSI ani Zadávateľ nemusia zaplatiť žiadne odškodné akejkoľvek povahy v dôsledku predčasného vypovedaní. PSI uhradí práce, pokud bude Studie ukončena nebo přerušena anebo pokud bude ukončena Smlouva ktoré boli skutočne vykonané ku dňu doručenia oznámenia o provedení klinického hodnocení mezi PSI vypovedaní. Ak sa táto Zmluva ukončí pred dokončením Štúdie, Inštitúcia a Zadavatelem Skúšajúci dostanú všetky potrebné pokyny týkajúce sa záverečných vyšetrení a (v) ukončit tuto Smlouvu bez uvedení důvodu s výpovědní lhůtou třiceti (30) kalendářních dnůzáverečných hlásení, ktoré sú potrebné za daných okolností a Inštitúcia a Skúšajúci musia tieto pokyny dodržať.

Termination by PSI 8. 2 Ukončení ze strany PSI Throughout PSI, in consultation with the course of this AgreementSponsor, PSI and Sponsor reserve the right at any time upon written notice to the Institution and the Investigator to: (i) instruct the Investigator to discontinue recruiting Study Subjects; (ii) may terminate this Agreement with immediate effect (i) if the PSI smí po dohodě se Zadavatelem ukončit tuto Smlouvu s okamžitou platností, (i) pokud Institution breaches this Agreement and such a breach is not remedied by the Institution within thirty (30) days after the receipt of the written notification; (ii) if PSI or the Investigator is Sponsor in material breach of this Agreement; (iii) terminate this Agreement with immediate effect if good faith believe the Investigational Medicinal Product Study Device or continuation of the Study presents an unreasonable medical risk to the Study Subjects; subjects or if there are efficacy or safety concerns; (iii) if the Study is suspended or not initiated at the Institution for any reason; (iv) terminate this Agreement with immediate effect if the agreement between the Sponsor and PSI regarding the Study is terminated terminated; or suspended or if the clinical trial agreement between PSI and Sponsor is terminated, and (v) terminate this Agreement without cause with upon the occurrence of an event qualifying as a notice period of thirty (30) calendar daystermination event as described in the Protocol. Během existence této Smlouvy, si PSI a Zadavatel vyhrazují právo kdykoli: (i) vydat pokyn Hlavnímu zkoušejícímu, aby přerušil nábor Subjektů hodnocení; (ii) s okamžitou platností ukončit Zdravotnické zařízení poruší tuto Smlouvu v případě jejího a toto porušení Zdravotnickým zařízením nebo Hlavním zkoušejícím; (iii) s okamžitou platností ukončit tuto Smlouvu, pokud by Hodnocený léčivý přípravek nebo pokračování ve Studii představovalo nepřiměřené riziko pro Subjekty hodnocení; (iv) s okamžitou platností ukončit tuto Smlouvu, pokud bude Studie ukončena nebo přerušena anebo pokud bude ukončena Smlouva o provedení klinického hodnocení mezi PSI a Zadavatelem a (v) ukončit tuto Smlouvu bez uvedení důvodu s výpovědní lhůtou nenapraví do třiceti (30) kalendářních dnůdnů od obdržení písemného oznámení, (ii) pokud se PSI nebo Zadavatel budou v dobré víře domnívat, že Studijní prostředek nebo pokračování ve Studii představuje nepřiměřené zdravotní riziko pro Subjekty hodnocení, nebo pokud budou mít obavy ohledně účinnosti či bezpečnosti Studijního prostředku, (iii) pokud bude Studie z jakéhokoli důvodu ve Zdravotnickém zařízení přerušena, nebo nebude zahájena, (iv) pokud dojde k ukončení Smlouvy týkající se Studie uzavřené mezi PSI a Zadavatelem nebo (v) jakmile dojde k události, která se považuje za událost zakládající důvod k ukončení této Smlouvy, jak je uvedeno v Protokolu.

Během existence této Smlouvy, si PSI a Zadavatel vyhrazují právo kdykoli: (i) vydat pokyn Hlavnímu zkoušejícímu, aby přerušil nábor Subjektů hodnocení; (ii) s okamžitou platností ukončit tuto Smlouvu v případě jejího porušení Zdravotnickým zařízením nebo Hlavním zkoušejícím; (iii) s okamžitou platností ukončit tuto Smlouvu, pokud by Hodnocený léčivý přípravek nebo pokračování ve Studii představovalo nepřiměřené riziko pro Subjekty hodnoceníif the Study is suspended or not initiated at the Institution for any reason; or (iv) if the agreement between the Sponsor and PSI regarding the Study is terminated. No indemnity of whatever sort shall be due by PSI or Sponsor as a consequence of such early termination. PSI shall pay for the work actually performed at the date of notice of termination. If this Agreement is terminated prior to the completion of the Study, the Institution and the Investigator will be given any necessary instructions concerning final examinations and final reporting that are required under the circumstances, and the Institution and the Investigator will comply with such instructions. PSI smí po dohodě se Zadavatelem ukončit tuto Xxxxxxx s okamžitou platností ukončit tuto Smlouvuplatností, (i) pokud bude Studie ukončena Zdravotnické zařízení a/nebo přerušena anebo pokud bude ukončena Smlouva o provedení klinického hodnocení mezi PSI a Zadavatelem a (v) ukončit Hlavní zkoušející poruší tuto Smlouvu bez uvedení důvodu s výpovědní lhůtou a nezjedná nápravu do třiceti (30) kalendářních dnůdnů od obdržení písemného upozornění, (ii) pokud se PSI nebo Zadavatel budou v dobré víře domnívat, že Studijní lék nebo pokračování ve Studii představuje nepřiměřené zdravotní riziko pro Subjekty hodnocení, nebo pokud budou mít obavy ohledně účinnosti či bezpečnosti Studijního léku, (iii) pokud bude Studie z jakéhokoli důvodu ve Zdravotnickém zařízení přerušena, nebo nebude zahájena, nebo (iv) pokud dojde k ukončení Smlouvy týkající se Studie uzavřené mezi PSI a Zadavatelem. Za předčasné vypovězení Smlouvy nebude PSI ani Zadavatel vyplácet žádné odškodné. PSI uhradí práci skutečně odvedenou k datu vypovězení Xxxxxxx. Pokud bude tato Smlouva vypovězena před dokončením Studie, obdrží Zdravotnické zařízení a Hlavní zkoušející veškeré nezbytné pokyny týkající se závěrečných vyšetření a podání závěrečné zprávy, které budou vyžadovány dle okolností, a Zdravotnické zařízení a Hlavní zkoušející budou jednat v souladu s těmito udělenými pokyny.

Termination by PSI 8. 2 Ukončení ze strany PSI Throughout the course of this Agreement, PSI and Sponsor reserve PSI, in consultation with the Sponsor, reserves the right at any time upon written notice to the Institution and the Investigator to: (i) instruct the Investigator to discontinue recruiting Study Subjects; (ii) terminate this Agreement with immediate effect if the Institution or the Investigator is in material breach of this Agreement; (iii) terminate this Agreement with immediate effect if the Investigational Medicinal Product or continuation of the Study presents an unreasonable medical risk to the Study Subjects; or if there are efficacy concerns; (iv) terminate this Agreement with immediate effect if Study is terminated or suspended or if the clinical trial agreement between PSI and with the Sponsor is terminated, and (v) terminate this Agreement without cause with a notice period of thirty (30) calendar days. Během existence této Smlouvy, si PSI a Zadavatel vyhrazují na základě konzultace se Zadavatelem vyhrazuje právo kdykoli: (i) vydat pokyn Hlavnímu zkoušejícímu, aby přerušil nábor Subjektů hodnocení; (ii) s okamžitou platností ukončit tuto Smlouvu v případě jejího porušení Zdravotnickým zařízením nebo Hlavním zkoušejícím; (iii) s okamžitou platností ukončit tuto Smlouvu, pokud by Hodnocený léčivý přípravek nebo pokračování ve Studii představovalo nepřiměřené riziko pro Subjekty hodnocení; (iv) s okamžitou platností ukončit tuto Smlouvu, pokud bude Studie ukončena nebo přerušena anebo pokud bude se Zadavatelem ukončena Smlouva o provedení klinického hodnocení mezi PSI a Zadavatelem a (v) ukončit tuto Smlouvu bez uvedení důvodu s výpovědní lhůtou třiceti (30) kalendářních dnů.

PSI smí po dohodě se Zadavatelem ukončit tuto Smlouvu s okamžitou platností, (i) pokud Zdravotnické zařízení a/nebo Hlavní zkoušející poruší tuto Smlouvu a nezjedná nápravu do třiceti (30) kalendářních dnů od obdržení písemného upozornění, (ii) pokud se PSI nebo Zadavatel budou v dobré víře domnívat, že Studijní lék nebo pokračování ve Studii představuje nepřiměřené zdravotní riziko pro Subjekty hodnocení, nebo pokud budou mít obavy ohledně účinnosti či bezpečnosti Studijního léku, (iii) pokud bude Studie z jakéhokoli důvodu ve Zdravotnickém zařízení přerušena, nebo nebude zahájena, nebo (iv) pokud dojde k ukončení Smlouvy týkající se PSI, in consultation with the clinical trial agreement between PSI and Sponsor is terminatedSponsor, and (v) may also terminate this Agreement without cause with a notice period of upon thirty (30) calendar days’ notice. Během existence této SmlouvyStudie uzavřené mezi PSI CRO AG a Zadavatelem, si smí PSI a Zadavatel vyhrazují právo kdykoli: (i) vydat pokyn Hlavnímu zkoušejícímu, aby přerušil nábor Subjektů hodnocení; (ii) s okamžitou platností ukončit po konzultaci se Zadavatelem tuto Smlouvu v případě jejího porušení Zdravotnickým zařízením nebo Hlavním zkoušejícím; (iii) s okamžitou platností také ukončit tuto Smlouvu, pokud by Hodnocený léčivý přípravek nebo pokračování ve Studii představovalo nepřiměřené riziko pro Subjekty hodnocení; (iv) s okamžitou platností ukončit tuto Smlouvu, pokud bude Studie ukončena nebo přerušena anebo pokud bude ukončena Smlouva o provedení klinického hodnocení mezi PSI a Zadavatelem a (v) ukončit tuto Smlouvu bez uvedení udání důvodu s výpovědní lhůtou třiceti třicet (30) kalendářních dnů.
