Common use of Suspension of Company’s Obligations Clause in Contracts

Suspension of Company’s Obligations. ‌ In addition to any other rights or remedies the Company may have under this Agreement or otherwise, the Company shall not be required to provide the services or perform its obligations hereunder, and shall be entitled to suspend such services and obligations, at any particular time, if performance thereof would be in contravention of any Applicable Law. If the Company suspends its obligations pursuant to this Section 12.3 and such suspension continues for more than ninety (90) consecutive days, then the Parties shall meet to consider and to discuss in good faith and settle whether the Agreement should be terminated or whether the Company should further suspend its obligations, and the effect of same. For certainty, if the Parties determine to terminate this Agreement, then the Parties shall in good faith determine what termination charges, if any, the Customer shall pay to the Company.
